FINANCIAL QQ AGREEMENT

Recitals and Effective Date

This Financial QQ Agreement (the Agreement) is entered into by and between the Lender and the Borrower identified above and shall be effective as of (Effective Date). The parties agree the terms set forth below shall govern the loan transaction described herein.

Definitions

Capitalized terms used in this Agreement shall have the following meanings unless otherwise defined herein: "Principal Amount" means the aggregate principal sum funded by Lender to Borrower; "Maturity Date" means the date on which all amounts owed under this Agreement must be paid in full; "Business Day" means a day other than a Saturday, Sunday or legal public holiday.

Interest shall accrue on the unpaid principal balance at the Stated Interest Rate computed on the basis of a 365-day year and actual days elapsed, unless otherwise specified in a supplement hereto.

The Borrower shall make payments according to the schedule below. Parties may attach an addendum for an alternative amortization schedule; absent such addendum, the following applies.

Prepayment, Fees and Taxes

Borrower may prepay all or any portion of the Principal Amount at any time without premium or penalty unless a prepayment premium is specified below.

Borrower shall pay all taxes, duties and other governmental charges (other than taxes on Lender's net income) arising from or in connection with this Agreement or any related transaction.

Default and Remedies

An Event of Default shall occur if Borrower fails to make any scheduled payment within ten (10) days after its due date, becomes insolvent, admits inability to pay debts as they come due, or breaches any material representation or covenant. Upon Event of Default, Lender may, at its election, accelerate the entire unpaid principal and accrued interest, enforce remedies against collateral, charge default interest at a rate equal to the lesser of the Stated Interest Rate plus five percentage points (5%) or the maximum permitted by law, and recover costs and attorneys' fees.

Representations and Warranties

Each party represents and warrants to the other that: (a) it is duly organized and validly existing under applicable law; (b) it has full power and authority to enter into this Agreement; and (c) the execution and performance of this Agreement will not violate any other agreement or law applicable to such party.

Covenants

Borrower covenants to use the loan proceeds only for the purposes disclosed to Lender, to maintain proper records of disbursement and use, and to provide financial statements or information reasonably requested by Lender within ten (10) Business Days of request.

Notices

All notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to its principles of conflicts of law. The parties agree to submit to the exclusive jurisdiction of the courts located in the chosen state for resolution of disputes relating to this Agreement.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions and agreements. No amendment shall be effective unless in writing and signed by both parties. If any provision is held invalid, the remainder shall continue in full force and effect.
