Upon acceptance this Attachment is incorporated by reference into the underlying agreement between the parties.

Taxes and Duties: Unless otherwise indicated, prices do not include taxes, duties, or levies. The Client is responsible for all applicable sales, use, value-added, or other taxes arising from this Attachment, unless the Client provides a valid exemption certificate.

Changes and Additional Work: Any changes to the scope or schedule requested by the Client will be documented in writing and may result in adjustments to price and delivery. Additional services will be invoiced at the rates set out in this Attachment or, if not specified, at the Issuer's prevailing rates.

Limitation of Liability: Except for liability that cannot lawfully be limited, each party's aggregate liability for claims arising from this Attachment shall not exceed the total amount paid under this Attachment. Neither party shall be liable for special, incidental, consequential, or punitive damages.

Confidentiality: Pricing, proprietary assumptions, and any non-public information exchanged in connection with this Attachment shall be treated as confidential and shall not be disclosed to third parties without prior written consent, except as required by law.

Governing Law and Dispute Resolution: This Attachment shall be governed by the laws specified in the underlying agreement. Disputes arising under this Attachment will be subject to the dispute resolution provisions of that agreement, or, if none exist, shall be resolved in a court of competent jurisdiction.
