FINANCIAL RATE ADDENDUM

This Financial Rate Addendum (this Addendum) is made and entered into as of Effective Date: by and between Party A: and Party B: .

RECITALS

WHEREAS, the parties entered into that certain agreement titled dated (the Agreement); and

WHEREAS, the parties desire to amend the Agreement with respect to the rates, fees, and related payment terms as set forth in this Addendum.

1. RATE SCHEDULE

The rates set forth below shall supersede any conflicting rate provisions in the Agreement as of the Effective Date stated above:

2. RATE APPLICATION AND CALCULATION

2.1 Calculation. Interest shall be calculated on the outstanding principal balance using the new rates specified in the Rate Schedule. Interest shall accrue daily and be computed on the basis of a 365-day year unless otherwise specified in the Agreement.

2.2 Payment Application. All payments received shall be applied in the order and manner set forth in the Agreement. To the extent not addressed in the Agreement, payments shall be applied first to accrued fees and charges, then to accrued interest, and finally to principal.

3. ADJUSTMENTS, NOTICE AND LIMITS

3.1 Adjustments. Any future adjustments to rates set forth in this Addendum shall be effective only if made in a written amendment signed by both parties. No oral modifications shall be effective.

3.2 Notice. Unless otherwise provided herein, notice of any rate adjustment shall be sent to the addresses set forth in the Notices section below and shall be effective as of the date specified in such notice.

3.3 Rate Caps and Floors. Any cap or floor applicable to adjusted rates shall be as set forth in the Agreement. To the extent of any inconsistency, the more restrictive provision shall control.

4. DEFAULT, REMEDIES AND COLLECTIONS

4.1 Default Rate. Upon an event of default under the Agreement, the Default Interest Rate specified in the Rate Schedule shall apply to past due amounts in accordance with the Agreement.

4.2 Remedies. All rights and remedies available to the non-defaulting party under the Agreement and at law or in equity are expressly preserved and may be exercised without limitation.

4.3 Collection Costs. The defaulting party shall be responsible for all reasonable collection costs, including attorneys' fees and court costs, incurred by the non-defaulting party in enforcing its rights under the Agreement or this Addendum.

5. TAXES AND FEES; NO WAIVER

Each party remains responsible for any taxes, assessments or governmental charges arising from amounts payable under the Agreement or this Addendum. No failure or delay by a party in exercising any right shall operate as a waiver of that right except by an express written waiver signed by the waiving party.

6. CONFIDENTIALITY; GOVERNING LAW; ENTIRE AGREEMENT

6.1 Confidentiality. The parties shall maintain the confidentiality of rate terms contained herein to the extent permitted by law and except as required by regulatory authorities.

6.2 Governing Law. This Addendum shall be governed by and construed in accordance with the laws specified in the Agreement, or if silent, the laws of the jurisdiction of record for Party A.

6.3 Entire Agreement. This Addendum and the Agreement (as amended hereby) constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior understandings and agreements relating thereto.
