FINANCIAL REFERRAL AGREEMENT

This Financial Referral Agreement (the "Agreement") is entered into as of by and between the parties identified below.

Recitals and Purpose

WHEREAS, Referrer maintains relationships with potential clients and may introduce prospective clients seeking financial products or services to Company; and WHEREAS, Company provides financial products and services and wishes to compensate Referrer for qualifying introductions that result in Accepted Clients as described below.

Definitions

"Qualified Referral" means a referral of an individual or entity who (a) is not an existing contact of Company, (b) is introduced in writing or by electronic transmission with sufficient contact information, and (c) executes a transaction with Company within days of the initial introduction.

Referral Obligations

Referrer shall provide complete contact information for each potential referral, including name, company, phone, email, and brief description of the referral's needs. Referrer will not make material representations about Company services beyond those expressly authorized by Company.

Compensation

Company shall pay Referrer compensation only for Qualified Referrals that result in an Accepted Client transaction as set forth below. Compensation is earned upon Company's receipt of cleared funds from the Accepted Client for the initial transaction giving rise to the fee.

If both fields are completed, Company shall apply the compensation method indicated in the Additional Terms section below. Payments are subject to adjustment for chargebacks, refunds, or cancellations pertaining to the Accepted Client transaction within the initial days following payment.

Payment Timing and Method

Company will remit undisputed referral fees within calendar days after Company's receipt of cleared funds from the Accepted Client or Company's issuance of an invoice, whichever is later.

Invoicing and Records

Referrer shall submit invoices for earned fees within days of becoming due. Each invoice must identify the Accepted Client, date of introduction, date of the Accepted Client transaction, and amount claimed. Company may request reasonable supporting documentation and shall promptly notify Referrer of any disputed amounts.

Compliance; Anti-Money Laundering; Tax

Each party shall comply with applicable laws, including anti-money laundering and know-your-customer requirements. Referrer represents that it will not submit referrals that are proceeds of unlawful activity. Referrer is solely responsible for reporting and paying any taxes, including income and self-employment taxes, arising from fees paid under this Agreement unless otherwise required by law to be withheld by Company.

Confidentiality

Each party shall maintain the confidentiality of non-public information received in connection with this Agreement and shall use such information only for performance under this Agreement. Confidential information shall not include information that is or becomes publicly available through no breach by the receiving party.

Term and Termination

This Agreement shall commence on the Effective Date and continue for an initial term of months, and thereafter shall renew automatically for successive one-month periods unless either party provides written notice of termination at least days prior to the end of the then-current term. Termination shall not affect payment obligations accrued prior to the effective date of termination.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other from and against any third-party claims arising from its breach of this Agreement, negligence, or willful misconduct. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, AND TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID OR PAYABLE TO REFERRER UNDER THIS AGREEMENT IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Non-Circumvention; Non-Solicitation

During the term of this Agreement and for twelve (12) months thereafter, neither party shall knowingly solicit or enter into agreements with the other's introduced clients in a manner intended to circumvent the referral compensation provisions of this Agreement.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by written notice to the other party.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment must be in writing and signed by both parties. If any provision is held unenforceable, the remainder shall remain in effect.
