FINANCIAL REFERRAL FEE AGREEMENT

Recitals

Referrer has introduced or will introduce prospective third-party counterparties, leads, or opportunities for financial transactions involving Recipient. Recipient desires to compensate Referrer for successful introductions in accordance with the terms and conditions below, and Referrer desires to accept such compensation.

Definitions

"Introduced Transaction" means any transaction, contract, sale, financing, investment or other business arrangement with a third party that occurs as a direct result of a referral or introduction made by Referrer to Recipient during the Term.

"Gross Consideration" means the total amount actually received by Recipient from the third party in respect of the Introduced Transaction, excluding taxes collected on behalf of governmental authorities.

Referral Fee

Referrer shall be entitled to a referral fee as follows. Select the applicable fee method and complete the corresponding amount.

Calculation Basis: Referral fee shall be calculated on Gross Consideration unless otherwise agreed in writing. Any transaction-specific adjustments (commissions, discounts, refunds) shall be deducted from Gross Consideration when computing the referral fee only if expressly provided here:

Payment Terms

Recipient will pay earned referral fees to Referrer within days after the date on which Recipient receives clear funds from the Introduced Transaction (or such other date specified above). Payments shall be made by check, wire transfer or other mutually agreed method to the payee information provided by Referrer.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Recipient shall provide a written statement with each payment showing calculation of the referral fee.

Reporting and Records

Recipient shall keep accurate books and records relating to Introduced Transactions and make such records available for inspection by Referrer upon reasonable notice during normal business hours. Recipient shall deliver to Referrer a written report of fees due within days after payment triggering events.

Taxes and Withholding

Each party is responsible for its own taxes arising from payments under this Agreement. Recipient may withhold taxes from payments to Referrer if required by applicable law; Recipient shall provide documentation of any withholding and shall use commercially reasonable efforts to minimize withholding where legally permissible.

Confidentiality

Each party shall treat as confidential all non-public information received from the other party in connection with the introductions and shall not disclose such information except as required by law or with prior written consent. Confidentiality obligations survive termination of this Agreement for a period of three years.

Non-Circumvention

Recipient agrees not to circumvent or attempt to circumvent Referrer with respect to any Introduced Transaction during the Term and for a period of twelve months thereafter. Any direct engagement between Recipient and a third party introduced by Referrer shall be subject to the referral fee terms herein.

Term and Termination

This Agreement shall commence on the Effective Date and continue for year(s) unless earlier terminated by either party for material breach that remains uncured for 30 days following written notice. Termination shall not affect obligations to pay fees for Introduced Transactions arising from referrals made prior to termination.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other party from third-party claims arising from its breach of this Agreement or its gross negligence or willful misconduct. Except for willful misconduct or breaches of confidentiality, neither party shall be liable to the other for indirect, special, incidental or consequential damages.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of law principles. Parties agree to attempt in good faith to resolve disputes by negotiation; if unresolved, disputes shall be resolved by binding arbitration in the agreed county or judicial district.

All notices shall be in writing and delivered to the addresses below by certified mail, courier, or email with delivery confirmation.

Miscellaneous

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except that Recipient may assign to an affiliate or successor in connection with a merger or sale of substantially all of its assets.

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes prior oral or written agreements. Any amendment must be in writing and signed by both parties.
