Recitals

This Financial Remittance Agreement (the "Agreement") is entered into between the Remitter and the Recipient named above. The parties desire to set forth the terms under which the Remitter will deliver funds to the Recipient, and the procedures and obligations governing such remittances.

Definitions

For purposes of this Agreement, "Remittance" means any electronic transfer, wire transfer, ACH transfer, check, or other transfer of funds from the Remitter to the Recipient pursuant to the terms set forth herein.

The Remitter shall remit funds to the Recipient in accordance with the schedule below. All remittances shall be accompanied by remittance advices that identify the remittance period and reference numbers as required by the Recipient.

The Remitter shall bear any taxes, withholdings or bank charges imposed on remittances unless otherwise agreed in writing. The Recipient may deduct agreed fees prior to acceptance of funds, provided the fee and basis are set forth above or in a written schedule attached hereto.

Records, Audit and Reporting

Each party shall retain records supporting remittance calculations and transfers for a period of no less than five (5) years. The Recipient shall permit the Remitter to audit remittance records upon reasonable prior notice and during normal business hours; any such audit shall be at the Remitter's expense unless material discrepancies are found, in which case the Recipient shall bear reasonable audit costs.

Representations, Warranties and Compliance

Each party represents and warrants that it has full corporate or personal authority to enter into this Agreement, that remittances will comply with applicable banking rules and anti-money laundering laws, and that funds remitted are not derived from unlawful activity.

Default and Remedies

Failure by the Remitter to make any scheduled remittance when due, or any breach of material obligation under this Agreement, shall constitute an Event of Default. Upon Event of Default the Recipient may suspend acceptance of further remittances, pursue collection, and recover costs and attorneys' fees reasonably incurred in enforcing its rights.

Indemnification

Each party shall indemnify and hold harmless the other party from and against any losses, liabilities or expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, willful misconduct, or violation of applicable law in connection with remittances.

Notices

Notices under this Agreement shall be in writing and delivered to the addresses below by certified mail, courier, or other commercially reasonable means.

Confidentiality

Each party agrees to maintain in confidence all non-public information received from the other party in connection with remittances and not to disclose such information except to employees, agents or advisors who have a need to know and are bound by confidentiality obligations.

Miscellaneous

This Agreement constitutes the entire agreement between the parties relating to remittances and supersedes prior communications. No amendment is effective unless in writing and signed by both parties. This Agreement is governed by the laws of the governing_jurisdiction specified by the parties below.
