Default; Remedies

Events of default include failure to pay rent when due, insolvency, abandonment, or material breach of this Agreement. Upon default, Lessor may elect to terminate this Agreement, recover possession, recover unpaid rent, accelerate remaining payments to the extent permitted by law, and pursue any other remedies available at law or in equity. Lessee shall be liable for reasonable attorney fees and costs incurred in enforcing this Agreement.

Indemnification and Limitation of Liability

Lessee shall indemnify, defend, and hold harmless Lessor from all claims, liabilities, losses, damages, and expenses arising out of Lessee's use or possession of the property, except to the extent caused by Lessor's gross negligence or willful misconduct. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, LESSOR'S LIABILITY SHALL BE LIMITED TO DIRECT DAMAGES NOT EXCEEDING THE AMOUNTS PAID BY LESSEE UNDER THIS AGREEMENT DURING THE PRIOR SIX (6) MONTHS.

Lessee shall not assign this Agreement or sublet the property without the prior written consent of Lessor, which consent shall not be unreasonably withheld for commercial leases.
