This Guarantee shall commence on the date signed below and shall continue until: Lease Term End Date: , subject to early termination only as expressly provided herein.

The obligations of Guarantor are primary, continuing, and independent of the obligations of Tenant. Guarantor waives notice of acceptance, presentment, demand, protest, and notice of default and any requirement that Landlord exhaust remedies against Tenant or any collateral prior to seeking payment from Guarantor.

Payment on Demand; Interest; Late Charges

Upon written demand by Landlord specifying the amount claimed to be due under the Lease and this Guarantee, Guarantor shall within days pay such amount up to the Maximum Guaranteed Amount. Amounts unpaid shall bear interest at the rate of per annum, and a late fee of or the maximum allowed by law, whichever is less.

Remedies; Attorneys' Fees; Acceleration

Landlord may, at its election and without prior notice to Guarantor, enforce any remedy against Tenant or any collateral and may pursue Guarantor directly. If Landlord obtains a judgment against Guarantor, Guarantor shall pay all costs of collection, including reasonable attorneys' fees and court costs. Any acceleration or termination of the Lease shall not release Guarantor from obligations that accrued prior to such action.

Representation, Warranties and Capacity of Guarantor

Guarantor represents and warrants that it has full power and authority to enter into this Guarantee, and that execution and delivery of this Guarantee and performance hereof have been duly authorized. Guarantor further represents that the statements set forth in its financial information are true and complete as of the date hereof.

No Discharge; Subrogation

This Guarantee shall not be released or affected by (a) any modification, extension, or renewal of the Lease; (b) any release or compromise of Tenant or any other guarantor; or (c) the transfer of the Lease or the Premises. Upon payment by Guarantor of any sums hereunder, Guarantor shall be subrogated to Landlord's rights against Tenant to the extent of such payment, subject to any defenses available to Tenant against Landlord.

Governing Law; Jurisdiction

This Guarantee shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any action arising out of this Guarantee.
