5. Termination: Either party may terminate upon 10 days' written notice for material breach. Upon termination, Client will pay for all Services performed and expenses incurred through the date of termination.

6. Indemnification: Client agrees to indemnify and hold Provider harmless from claims, liabilities, and expenses arising from information provided by Client that is inaccurate, incomplete, or fraudulent.

7. Independent Contractor: Provider shall perform Services as an independent contractor. Nothing in this Proposal creates an employment, agency, joint venture, or partnership relationship.

8. Dispute Resolution: Parties agree to attempt good faith resolution through negotiation. If unresolved, disputes shall be resolved by binding arbitration in the state of jurisdiction specified in the Notices section below, except where prohibited by law.
