This Financial Retainer Agreement (the Agreement) is entered into as of , (Effective Date) by and between the parties named above.

Recitals

WHEREAS, Firm is engaged in the business of providing financial advisory, planning, investment oversight, and related financial services; and

WHEREAS, Client desires to retain Firm to perform certain financial services and Firm is willing to provide such services under the terms and conditions set forth in this Agreement.

Engagement and Scope of Services

Firm shall provide the services described below (Services). The Services may include financial planning, investment advisory, tax planning guidance, asset allocation recommendations, portfolio monitoring, and periodic reporting. Specific deliverables and limits on services are set forth below.

Retainer, Fees and Billing

As consideration for the Services, Client shall pay Firm a retainer and/or fees as set forth below. Fees are exclusive of applicable taxes.

Expenses

Client shall reimburse Firm for reasonable out-of-pocket expenses incurred in connection with the performance of Services, including but not limited to travel, filing fees, third-party research, custodial or trading fees, and courier charges, subject to any pre-approval requirements set forth below.

Term and Termination

The term of this Agreement will commence on the Effective Date and continue until terminated by either party upon written notice. Termination will not relieve Client of the obligation to pay fees and expenses incurred through the effective date of termination and any sums due to satisfy work in process.

Confidentiality

Each party agrees to maintain the confidentiality of Confidential Information disclosed by the other party, using at least the same degree of care that it uses to protect its own confidential information but in no event less than reasonable care. Confidential Information does not include information that is or becomes public through no fault of the receiving party or is required to be disclosed by law or valid order of a court or other governmental authority.

Conflicts; No Guarantee

Firm shall use reasonable efforts to identify and disclose any material conflicts of interest. Client acknowledges that Firm does not warrant or guarantee investment performance or specific outcomes. All investment recommendations are subject to market risks and Client retains ultimate authority regarding investment decisions unless otherwise agreed in writing.

Limitation of Liability and Indemnification

Except for liability arising from gross negligence or willful misconduct, Firm's total liability for any claim arising out of or related to this Agreement shall not exceed the total fees paid to Firm by Client under this Agreement during the twelve (12) months preceding the event giving rise to the claim. Client agrees to defend, indemnify and hold harmless Firm and its affiliates from and against claims, liabilities, losses and expenses arising out of Client's breach of this Agreement or Client's willful misconduct.

Records; Access; Audit

Firm will maintain records of services performed and fees charged. Client may request copies of records relating to Client's account during the term of the Agreement and for a reasonable period thereafter. Any right to audit by Client shall be limited to verification of amounts billed and shall be conducted during normal business hours and upon reasonable advance notice.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state indicated below, without regard to choice-of-law principles. The parties agree to attempt to resolve disputes by good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration in the county of the chosen governing state unless the parties agree otherwise in writing.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above (or such other address as a party may designate by notice). Notice is effective upon receipt.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment must be in writing and signed by both parties. Neither party may assign this Agreement without the prior written consent of the other, except that Firm may assign to an affiliate.
