FINANCIAL REVENUE SHARE AGREEMENT

This Financial Revenue Share Agreement (the Agreement) is made and entered into effective as of (Effective Date), by and between the parties identified below.

Parties

Definitions

Capitalized terms used in this Agreement shall have the meanings set forth below. "Gross Revenue" means all revenue actually received by Company that is directly attributable to the Products or Services identified in Exhibit A, before deduction of any taxes, refunds, chargebacks or similar amounts unless otherwise agreed in writing. "Net Revenue" means Gross Revenue less authorized refunds, chargebacks and sales taxes.

Revenue Share; Calculation

Company agrees to pay Participant a revenue share equal to percent (the Revenue Share) of as defined above. Revenue shall be calculated for each Payment Period and paid in accordance with the Payment Terms below.

Payment Terms

Payments shall be made within days after the end of each Payment Period. Payment shall be made by bank transfer or other mutually agreed method to the account designated by Participant.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Company shall provide a written payment report with each payment describing the calculation of the Revenue Share.

Reporting; Audit Rights

Company shall deliver with each payment a report showing the Gross Revenue, deductions, calculation of Net Revenue (if applicable) and the Revenue Share amount. Participant shall have the right, once per twelve-month period and upon reasonable notice, to audit records of Company that are reasonably related to the calculation of Revenue Share for the prior twelve (12) months. The audit shall be conducted during normal business hours and in a manner designed to avoid material disruption. If an audit reveals an underpayment in excess of 2% for the audited period, Company shall promptly pay the shortfall plus the reasonable cost of the audit.

Term and Termination

The term of this Agreement shall commence on the Effective Date and continue for unless earlier terminated as provided herein. Either party may terminate for material breach if the breach is not cured within thirty (30) days after written notice. Upon termination, Company shall pay Participant all accrued Revenue Share amounts through the effective date of termination and shall provide final accounting within forty-five (45) days.

Representations, Warranties and Covenants

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, that performance does not breach any other agreement, and that all information provided to the other party is true and complete in all material respects. Company represents that revenue reports will be prepared in accordance with generally accepted accounting principles applied consistently.

Indemnification; Liability

Each party shall indemnify, defend and hold harmless the other from and against any claims, losses or liabilities arising out of its breach of this Agreement, negligence or willful misconduct. Except for willful misconduct or breaches of confidentiality or indemnification obligations, neither party shall be liable for incidental, consequential or punitive damages. The aggregate liability of either party for direct damages arising from this Agreement shall not exceed the total Revenue Share paid or payable to Participant during the twelve (12) months preceding the claim.

Taxes and Withholding

Each party is responsible for its own taxes arising from payments under this Agreement. Company may withhold amounts required by applicable law. Participant shall provide valid tax documentation or forms upon request.

Notices

Dispute Resolution; Governing Law

This Agreement shall be governed by the laws of without regard to conflict of laws rules. The parties shall first attempt to resolve disputes by negotiation. If unresolved, disputes shall be submitted to binding arbitration in the county of the governing law state unless the parties agree otherwise.

Assignment; Amendment; Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except that Company may assign to an affiliate or successor by merger or sale. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and may be amended only by a written instrument signed by both parties.
