FINANCIAL REVENUE SHARING AGREEMENT

This Financial Revenue Sharing Agreement (the Agreement) is entered into as of , (Effective Date), by and between:

PARTIES

RECITALS

WHEREAS, Party A and Party B desire to allocate and share revenues derived from certain specified products, services, or transactions as set forth herein; and WHEREAS, the parties intend to set forth the terms and procedures for calculation, payment, reporting, audit, and remedies in the event of dispute or default.

DEFINITIONS

"Gross Revenues" means all revenue, income, fees, and other consideration actually received by the Revenue Source, whether denominated as revenue, fees, discounts, credits, or consideration, arising directly from the activities specified in Schedule A and before deduction of any expenses except as expressly provided in this Agreement.

REVENUE SHARE; CALCULATION

The parties agree that revenue shall be shared as follows: Party A shall receive % of Gross Revenues and Party B shall receive %, subject to the adjustments and deductions set forth below.

Permitted deductions from Gross Revenues shall be limited to: (a) refunds to end customers, (b) sales and transaction taxes actually collected and remitted, and (c) third-party payment processor fees actually incurred. Any other deduction requires written agreement of both parties.

REPORTING AND PAYMENT

Reports of Gross Revenues and calculation of the amounts due shall be delivered by the reporting party to the payee within days following the end of each Reporting Period. Payment of amounts due shall be made within days after delivery of the report.

Late payments shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law. The prevailing party in any collection or enforcement action shall be entitled to recover reasonable attorneys' fees and costs.

AUDIT RIGHTS

Each party shall maintain complete and accurate books and records relating to Gross Revenues for a period of at least three (3) years. Upon reasonable prior written notice, the non-reporting party may audit such books and records no more than once per Reporting Period to verify reported amounts. Any underpayment discovered by audit shall be promptly paid together with interest at the rate set forth above. If underpayment exceeds three percent (3%) of the audited amount, the reporting party shall reimburse the auditing party's reasonable audit costs.

TERM; TERMINATION

This Agreement shall commence on the Effective Date and continue for an initial term of months, after which it shall automatically renew for successive one-year terms unless either party provides written notice of non-renewal at least days prior to the end of the then-current term.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within thirty (30) days following written notice specifying the breach. Termination does not relieve either party of obligations accrued prior to termination, including payment obligations.

REPRESENTATIONS; WARRANTIES; INDEMNIFICATION

Each party represents and warrants that it has full corporate or individual power and authority to enter into this Agreement, that the execution and performance will not violate other agreements, and that its performance will comply with applicable law.

Each party shall indemnify, defend and hold harmless the other party from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or in connection with the indemnifying party's breach of this Agreement, gross negligence, or willful misconduct.

CONFIDENTIALITY

The parties shall keep confidential all non-public information and data disclosed in connection with this Agreement for a period of years following the termination or expiration of this Agreement, except as required by law or regulatory authority.

LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EACH PARTY ARISING FROM OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

NOTICES

All notices shall be in writing and delivered to the addresses set forth in the Parties section or to such other address as a party designates by written notice. Notices shall be deemed given upon (a) personal delivery, (b) delivery by nationally recognized overnight courier, or (c) five (5) business days after deposit in the U.S. mail, postage prepaid, certified mail, return receipt requested.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, whether written or oral. No amendment shall be valid unless in writing and signed by authorized representatives of both parties. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
