FINANCIAL REVISED AGREEMENT

Parties and Effective Date

This Financial Revised Agreement (the Agreement) is made and entered into as of Effective Date: by and between the parties set forth below.

Recitals

WHEREAS, Lender and Borrower entered into an original agreement entitled Original Agreement dated (Original Agreement); and

WHEREAS, the parties desire to amend and restate certain financial terms of the Original Agreement as set forth herein; accordingly, in consideration of the mutual covenants contained herein, the parties agree as follows.

Security and Collateral

The Borrower grants to the Lender a continuing security interest in the collateral described above to secure payment and performance of all obligations under this Agreement and the Original Agreement, subject to any perfected liens expressly identified and agreed in writing.

Default; Remedies

An Event of Default shall occur upon Borrower's failure to make any payment when due, insolvency, appointment of a receiver, or material breach of any covenant. Upon an Event of Default, Lender may, at its election, declare all unpaid principal and accrued interest immediately due and payable and exercise any rights and remedies available at law or in equity, including foreclosure on collateral.

Prepayment and Payment Application

Borrower may prepay principal in whole or in part at any time without premium or penalty except as provided herein. All payments shall be applied first to accrued but unpaid interest, then to principal, and then to fees and expenses.

Representations, Warranties and Covenants

Each party represents and warrants it has full power and authority to enter into this Agreement and that the execution and delivery hereof will not violate any law or contractual obligation. Borrower covenants to maintain the collateral, pay taxes and charges, and provide Lender access to inspect collateral upon reasonable notice.

Costs; Attorney Fees

If any action is commenced to enforce this Agreement, the prevailing party shall be entitled to recover reasonable attorney fees and costs incurred in addition to other relief awarded by the court.

Notices

All notices, requests, demands or other communications required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may specify by written notice to the other party.

Amendment; Integration; Governing Law

This Agreement amends the Original Agreement as set forth herein and constitutes the entire agreement between the parties with respect to the subject matter hereof. No amendment shall be effective unless in writing and signed by both parties. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction designated below.

Miscellaneous

Headings are for convenience only and shall not affect interpretation. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute waiver of any other breach.
