Terms and Conditions (Binding Amendments)

1. Incorporation. This Schedule supplements and amends the Reference Agreement. Except as expressly amended by this Schedule, the Reference Agreement remains in full force and effect. In the event of any conflict between the terms of this Schedule and the Reference Agreement, the terms of this Schedule shall govern to the extent of such conflict.

2. Interest; Calculation. Interest shall accrue at the rate specified in the Reference Agreement unless a new rate is specified below. If a new rate applies, Interest Rate: . Interest will be computed on the basis set forth in the Reference Agreement.

3. Default and Remedies. An Event of Default under the Reference Agreement shall apply to this Schedule. Upon default, Creditor retains all rights and remedies provided by the Reference Agreement and law, including acceleration, collection costs, and interest at the default rate specified in the Reference Agreement.

4. Prepayment. Prepayment shall be applied pursuant to the Reference Agreement; any prepayment premium or waiver must be expressed in writing and signed by both parties.

5. Amendments; Waiver. This Schedule may be amended only by a written instrument executed by both parties. No failure or delay in exercising any right is a waiver unless made in writing and signed by the waiving party.

6. Governing Law. This Schedule shall be governed by and construed in accordance with the laws of: , without regard to conflict of law principles.
