Payment Terms: Payment is due within days of the Report Date. Late payments shall accrue interest at or the maximum rate permitted by law, whichever is less.

The Licensee certifies that the figures stated in this Financial Royalty Report are true, complete and prepared in accordance with the Agreement identified above. The Licensee warrants that all gross receipts and allowable deductions are reported in accordance with the Agreement and that no material information has been omitted.

Licensor and Licensee retain the right, subject to the Agreement, to inspect and audit books, records and supporting documentation relevant to this Report during normal business hours upon reasonable notice. Any underpayment discovered as a result of such audit shall include interest at the rate specified above and any reasonable costs of audit where the underpayment exceeds the greater of 5% of the amount audited or $1,000.

This Report does not modify any other rights or remedies under the Agreement. All adjustments reflected on this Report are subject to verification under the Agreement's audit and dispute resolution provisions.

Dispute Notice

If Licensor disputes any amount reported, Licensor shall notify Licensee in writing within 60 days of receipt of payment and specify the basis for the dispute. Failure to timely notify shall be deemed acceptance of the amounts reported, except where prohibited by law or the Agreement.
