Parties and Date

This Financial SAFE CCD (the Agreement) is entered into as of (Effective Date), by and between:

Recitals

WHEREAS, the Investor desires to provide financing to the Company in exchange for the right to receive conversion securities or repayment under the terms set forth below; and WHEREAS, the Company and Investor desire to set forth the terms under which such financing will be converted into equity or repaid; NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows.

Definitions and Transaction Terms

Purchase Amount: The Investor will pay to the Company the aggregate principal sum of (Purchase Amount).

Valuation Cap: For purposes of conversion, the pre-money valuation cap shall be .

Discount Rate: If applicable, the Discount Rate shall be of the price per share in a Qualified Financing.

Interest Rate (if CCD functionality applies): The Purchase Amount shall accrue interest at a rate of per annum, compounded quarterly, unless converted earlier.

Maturity Date: If conversion has not occurred, the outstanding principal and accrued interest shall be due on (Maturity Date).

Conversion Terms

Qualified Financing: "Qualified Financing" means the Company’s next equity financing resulting in gross proceeds to the Company of at least .

Conversion upon Qualified Financing: Upon the closing of a Qualified Financing, the Purchase Amount and accrued interest (if any) shall automatically convert into the type of shares issued in that financing at a conversion price equal to the lesser of (A) the price per share equal to the Valuation Cap divided by the Company's fully diluted capitalization immediately prior to the Qualified Financing, or (B) the price per share equal to the financing price per share multiplied by (1 - Discount Rate). Calculations shall be performed consistent with standard industry practice.

Conversion upon Liquidity Event or Dissolution: If, prior to conversion or payment in full, a Liquidity Event or Dissolution Event occurs, the Investor shall be entitled at Investor’s election to either (i) receive a cash payment equal to the Purchase Amount plus accrued interest, or (ii) receive a number of shares equal to the Purchase Amount divided by the Conversion Price determined as if a Qualified Financing had occurred immediately prior to such event.

Default, Remedies and Repayment

Events of Default: The following shall constitute Events of Default: (a) the Company’s failure to pay amounts due on the Maturity Date; (b) the Company’s material breach of representations, warranties or covenants that is not cured within 30 days after written notice; or (c) an event of insolvency or appointment of a receiver.

Remedies: Upon Event of Default, the Investor may, at Investor’s option, declare all outstanding obligations immediately due and payable and pursue all available legal and equitable remedies. The Company shall reimburse reasonable costs of collection, including attorneys’ fees, to the extent permitted by law.

Representations and Warranties

Company Representations: The Company represents and warrants that (a) it is duly organized and validly existing under applicable law; (b) it has full corporate power and authority to execute and deliver this Agreement and to perform its obligations hereunder; and (c) the execution and delivery of this Agreement and the performance contemplated herein do not and will not violate any material agreement or law applicable to the Company.

Investor Representations: The Investor represents and warrants that (a) it has full power and authority to enter into this Agreement; (b) it is acquiring the rights hereunder for investment and not with a view to public distribution; and (c) it has the financial ability to bear the economic risk of this investment.

Covenants, Transfer and Miscellaneous

Transfer Restrictions: Neither party may assign or transfer this Agreement except with the prior written consent of the other party, except that the Investor may transfer to affiliates or permitted transferees that agree in writing to be bound.

Amendments: Any amendment or waiver of any provision of this Agreement must be in writing and signed by the Company and the Investor holding a majority of the outstanding Purchase Amount (or, if a single Investor, by that Investor).

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state agreed by the parties below.

Notices and Payment Instructions

All notices, demands and requests required or permitted under this Agreement shall be given in writing and delivered to the addresses set forth above (or such other address as either party may designate by written notice to the other).
