FINANCIAL SALES AGREEMENT

Parties and Effective Date

This Financial Sales Agreement (the Agreement) is entered into on Effective Date: by and between Seller and Buyer as set forth below.

Recitals and Definitions

WHEREAS, Seller owns certain financial assets, contracts, receivables, instruments or other rights described below (collectively, the Assets) and desires to sell, transfer and assign such Assets to Buyer; and WHEREAS, Buyer desires to purchase and acquire the Assets upon the terms and subject to the conditions set forth in this Agreement.

Purchase Price and Payment

Purchase Price: Buyer shall pay to Seller the aggregate purchase price in lawful currency of the United States equal to $ (the Purchase Price), subject to adjustments as provided in this Agreement.

Payment Terms: The remaining balance shall be paid as set forth in the Payment Schedule below. Interest on unpaid balances shall accrue at a rate of per annum, calculated on the basis of a 365-day year, unless otherwise agreed in writing.

Due Date Amount Payment Method

Late Payment and Remedies: Any amount not paid when due shall bear a late fee equal to the lesser of (a) 1.5% per month on the overdue balance or (b) the maximum rate permitted by applicable law. Buyer shall be in default if any undisputed amount remains unpaid beyond days after written notice from Seller, whereupon Seller may exercise remedies including acceleration, foreclosure on any security interest granted herein, and pursuit of damages.

Closing; Delivery of Documents

Closing shall occur on Closing Date: or at such other time and place as the parties shall mutually agree in writing. At Closing, Seller shall deliver to Buyer assignment instruments, account ledgers, records, certificates and other documents reasonably necessary to effect transfer of the Assets and to vest Buyer with the rights included in the Assets.

Representations, Warranties and Covenants

Seller represents and warrants that: (a) Seller is the sole legal and beneficial owner of the Assets, free and clear of any lien, encumbrance or adverse claim except those disclosed in writing to Buyer; (b) the Assets are valid, enforceable and in full force under applicable law; and (c) to Seller's knowledge, there is no pending litigation or governmental investigation that would materially impair the Assets. Seller covenants to provide all notices and consents required to effect the transfer.

Buyer represents and warrants that Buyer has full power and authority to enter into this Agreement and to perform its obligations hereunder and that the execution and performance will not violate any material agreement or law applicable to Buyer.

Indemnification

Seller shall indemnify, defend and hold harmless Buyer and its affiliates from and against any losses, claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of any breach of Seller's representations, warranties or covenants. Buyer shall indemnify Seller for any breach of Buyer's representations, warranties or covenants. The indemnified party shall provide prompt written notice of any claim and shall cooperate in the defense thereof; failure to give prompt notice shall not relieve the indemnitor except to the extent prejudiced thereby.

Default, Remedies and Mitigation

Upon the occurrence of an Event of Default, the non-defaulting party may pursue any remedy available at law or in equity, including specific performance, injunctive relief, acceleration of amounts due, and recovery of damages. The parties agree to use commercially reasonable efforts to mitigate damages following a breach.

Assignment; Successors

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Buyer may assign to an affiliate or in connection with a financing so long as Buyer remains primarily liable for performance. This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties agree that exclusive venue for any dispute arising hereunder shall be the state or federal courts located in such state, and each party hereby consents to the jurisdiction of those courts.

Notices

All notices, demands or other communications required or permitted under this Agreement shall be in writing and shall be delivered by hand, nationally recognized overnight courier, or certified mail (return receipt requested) to the addresses set forth below or to such other address as either party may designate by notice in accordance with this section.

Tax Treatment; Withholding

Each party shall be responsible for its respective tax liabilities arising from the transactions contemplated by this Agreement. Buyer may withhold any amounts required to be withheld by applicable law and shall provide Seller with documentation evidencing any such withholding. The parties shall cooperate to provide required documentation for tax reporting.

Confidentiality

Except as required by law or as necessary to effect the transactions contemplated herein, each party shall keep confidential all non-public information obtained from the other party in connection with this Agreement and shall not disclose such information to third parties without the prior written consent of the disclosing party.
