Acceptance: This Financial Sales Order constitutes an offer by Buyer to purchase the goods and services described herein. Acceptance by Seller is expressly limited to the terms of this Sales Order. Seller must accept in writing or by performance within the time period specified in the Seller acceptance field. Any additional or different terms proposed by Seller are material and will not be binding unless expressly agreed in writing by Buyer.

Prices and Taxes: Prices are as stated on the face of this Sales Order. Buyer is responsible for all sales, use, excise or similar taxes applicable to the transaction, except for taxes based on Seller's net income. Any tax-exempt status must be documented in writing at the time of order.

Delivery and Risk of Loss: Delivery dates are estimates. Time is not of the essence unless expressly agreed in writing. Risk of loss passes to Buyer upon delivery to the carrier unless otherwise expressly stated as Delivered Duty Paid or equivalent. Claims for shortage, loss or damage in transit must be made in accordance with carrier procedures and notified to Seller in writing within seven (7) days of receipt.

Inspection and Rejection: Buyer shall inspect goods promptly after receipt and must notify Seller in writing of any nonconformity within thirty (30) days. Seller shall have the right to cure any defects within a commercially reasonable time. If Seller fails to cure, Buyer may reject goods and obtain refund or replacement in accordance with Seller's warranty obligations.

Warranty: Seller warrants that goods supplied will conform to specifications and be free from material defects in materials and workmanship under normal use for the period specified by Seller. Except as expressly set forth in this paragraph, Seller disclaims all other warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose to the fullest extent permitted by law.

Limitation of Liability and Indemnity: Seller's liability for breach of this Sales Order is limited to repair, replacement or refund of the purchase price of nonconforming goods. In no event shall Seller be liable for incidental, consequential, special or punitive damages. Buyer shall indemnify, defend and hold Seller harmless from claims arising from Buyer's misuse, modification, or negligent handling of the goods.

Default and Remedies: Failure to pay when due or any material breach by either party permits the non-breaching party to suspend performance, cancel outstanding orders, and pursue any remedies available at law or equity. Remedies are cumulative and not exclusive.

Governing Law and Dispute Resolution: This Sales Order shall be governed by and construed under the laws of the state specified by the parties in writing. Parties agree that disputes shall be resolved in the courts of the governing jurisdiction, unless otherwise agreed in writing to arbitration.

Notices: All notices required or permitted under this Sales Order shall be in writing and delivered to the addresses provided on the face hereof, and will be effective upon personal delivery, confirmed electronic transmission, or three (3) business days after deposit with a nationally recognized overnight carrier.
