What the Financial Sales Price Agreement Is and when it applies

A Financial Sales Price Agreement is a written contract that documents the agreed price, payment terms, and conditions for the sale of financial products or services between buyer and seller. It typically defines the covered goods or services, unit and total consideration, timing and method of payment, adjustments or discounts, responsibility for taxes and fees, and remedies for non‑payment or breach. The agreement can be standalone or an exhibit to a larger master services agreement and is used to reduce pricing disputes, set invoicing cadence, and provide a clear basis for accounting and tax reporting.

Why a clear Financial Sales Price Agreement matters

A precise pricing agreement reduces disputes, clarifies invoicing and tax treatment, and supports audit readiness. It protects both parties by documenting consideration, delivery milestones, and remedies while enabling consistent revenue recognition and easier regulatory review.

Why a clear Financial Sales Price Agreement matters

Who typically prepares or signs a Financial Sales Price Agreement

Common users include commercial sales teams, procurement departments, accounts receivable, and legal counsel who standardize price terms across transactions.

  • Sales and Pricing Teams: Draft and approve unit prices, discounts, and promotional terms for customer contracts.
  • Finance and Accounting: Validate consideration for revenue recognition, invoicing schedules, and tax withholding obligations.
  • Legal and Compliance: Review liability, indemnity, and governing law clauses before execution.

Essential sections to include in a professional agreement
