Scope of Services

Provider will perform the financial services described below (Services) on behalf of Client. Services may include advisory, portfolio management, transaction execution, reporting, and other services expressly agreed in writing. Specific deliverables, milestones, and service levels are set forth in the Fee Schedule and any attached statements of work.

Client agrees to pay Provider the fees set forth below. Fees will be invoiced in accordance with the Billing and Invoicing section.

Payment Terms

Invoicing: Provider shall issue invoices in accordance with the invoice schedule. Payment is due within days of invoice date. Past due amounts shall bear interest at % per month (or the maximum permitted by law).

Late Fee Policy: A late fee of will be applied to invoices unpaid after the due date. Client is responsible for all collection costs, including reasonable attorney fees.

Expenses and Reimbursement

Client shall reimburse Provider for reasonable, documented out-of-pocket expenses incurred in connection with performance of Services, including third-party vendor fees, travel, and filing fees, subject to Client pre-approval when expenses are expected to exceed .

Billing, Taxes and Adjustments

All fees are exclusive of taxes. Client shall pay any sales, use, value-added or other transactional taxes, excluding Provider's income taxes. If Client disputes an invoice, Client must provide written notice specifying the disputed items within days of receipt. Undisputed portions must remain payable.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement and shall not use such information except to perform its obligations. Confidential information does not include information which is or becomes publicly available through no fault of the receiving party or which is independently developed.

Indemnification; Limitation of Liability

Client shall indemnify and hold Provider harmless from losses arising from Client's breach of this Agreement or Client's unlawful acts, except where losses result from Provider's gross negligence or willful misconduct. Except for liability arising from willful misconduct or gross negligence, neither party shall be liable for consequential, incidental, or punitive damages; aggregate liability shall not exceed fees paid by Client to Provider in the preceding twelve (12) months.

Termination and Suspension

Either party may terminate this Agreement for convenience upon days' prior written notice. Provider may suspend Services for nonpayment immediately following notice and a cure period of five (5) business days. Upon termination, Client shall pay all fees and reimbursable expenses incurred through the termination date.

Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the state of , without regard to choice-of-law rules. Parties shall attempt to resolve disputes in good faith through negotiation and, if unresolved within 30 days, submit to binding arbitration in the elected forum unless otherwise agreed in writing.

Notices

All notices required under this Agreement must be in writing and delivered to the addresses provided below (or to updated addresses provided in writing). Notice is effective upon receipt.

Miscellaneous

Assignment: Neither party may assign this Agreement without the other party's prior written consent, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets. Amendments must be in writing and executed by authorized representatives. If any provision is unenforceable, the remainder remains effective.
