Fees described on this Order Form are due pursuant to the billing frequency selected above. Client authorizes Provider to invoice or charge Client in accordance with the payment terms set forth. All fees are payable in United States dollars and are non-refundable except as expressly provided in this Agreement.

Scope of Services; Terms and Conditions

1. Scope: Provider will perform the services expressly described in the Itemized Services section of this Order Form (Services). Any services not expressly set forth herein shall be out of scope and will require a separate written agreement or amendment.

2. Client Cooperation: Client shall provide timely access to information, authorizations, and personnel reasonably necessary for Provider to perform the Services. Provider shall not be liable for delays caused by Client’s failure to cooperate.

3. Confidentiality: Each party shall maintain the confidentiality of the other party’s non-public information and shall not disclose such information except as required by law or with prior written consent.

4. Compliance; Representations: Each party represents that it has the authority to enter this Order Form and that the performance of its obligations will comply with applicable laws, rules, and regulations.

5. Termination: Either party may terminate this Order Form for material breach if the breach is not cured within the specified notice period. Termination for convenience requires written notice of unless otherwise agreed.

6. Limitation of Liability: Except for willful misconduct or gross negligence, Provider’s aggregate liability arising out of this Order Form shall not exceed the total fees paid by Client to Provider under this Order Form during the twelve (12) month period preceding the claim.

7. Indemnification: Each party agrees to indemnify and hold harmless the other party from liabilities arising from its breach of representations, willful misconduct or negligent acts in performing this Order Form.

8. Notices: All notices required under this Order Form shall be in writing and delivered to the addresses set forth in the Provider and Client sections above.

9. Governing Law: The parties agree that this Order Form shall be governed by the laws of the state of without regard to conflicts of law principles.
