What a Financial Service Purchase Agreement Covers

A Financial Service Purchase Agreement is a written contract that sets the terms under which a purchaser acquires specified financial services from a provider, including scope, fees, performance standards, payment terms, and termination rights. Typical agreements cover services such as investment advisory, custody, payment processing, or loan servicing and define deliverables, service levels, confidentiality, and allocation of risk. The agreement allocates responsibilities, establishes remedies for breach, and identifies governing law and dispute resolution. It functions as the primary legal record that governs commercial relationships between financial institutions, vendors, and corporate clients.

Why this Agreement Matters and Its Legal Basis

A Financial Service Purchase Agreement clarifies service scope, pricing, and liabilities and reduces commercial disputes. Electronic execution is enforceable under the ESIGN Act (15 U.S.C. §7001) and UETA where adopted, making e-signed contracts admissible in court.

Why this Agreement Matters and Its Legal Basis

Who Prepares and Signs These Agreements

Financial firms, third-party vendors, corporate treasury teams, and compliance officers commonly prepare or review these agreements before service delivery begins.

  • Asset managers, broker-dealers, and custodians who procure outsourced financial services.
  • Banks, fintech platforms, and payment processors contracting technology or settlement services.
  • Corporate procurement, legal, and treasury teams that manage vendor relationships and risk.

Signatories typically include authorized officers, contracting managers, and in some cases external counsel or compliance approvers.

Typical Signatory Roles

Authorized Officer

An authorized officer (CEO, CFO, or other executive) signs on behalf of an organization when board resolutions or corporate bylaws grant signature authority; their signature binds the company to payment, indemnity, and service obligations and should match the name on corporate documents.

Delegated Signatory

A procurement manager or contracting officer may sign under a written delegation of authority; ensure the delegation is documented, time-limited if needed, and retained with the agreement to avoid disputes over capacity to contract.

Core Sections to Include in the Agreement

Core sections of a Financial Service Purchase Agreement that buyers and providers must negotiate and document to define duties, payments, data handling, liability, and termination mechanics.

Scope of Services

Describe specific services, deliverables, acceptance criteria, schedules, and any exclusions; precise scope limits disputes and ties fees and performance metrics to measurable outcomes and deadlines.

Fees & Payment

Specify fees, billing frequency, invoicing requirements, expense reimbursement, taxes, and payment remedies for late payment, including interest or suspension of services.

Service Levels

Define service level agreements (SLAs), uptime expectations, measurement methods, reporting obligations, credits or penalties for missed targets, and processes for escalation and remediation.

Confidentiality & Data

Address handling of customer data, confidentiality obligations, permitted disclosures, data security standards, and compliance with HIPAA, GLBA, or other applicable privacy laws.

Indemnities & Liability

Allocate risk through indemnities, limits of liability, exclusions for consequential damages, insurance requirements, and obligations to defend claims arising from service performance.

Termination & Remedies

Set termination rights, notice periods, transition support, data return or destruction procedures, and remedies for breach including specific performance or termination fees.
