Release and Covenant

Upon Payor's full and timely payment of the Settlement Amount in accordance with this Agreement, Payee hereby irrevocably and unconditionally releases and forever discharges Payor, and Payor's past and present agents, insurers, successors and assigns, from all claims, demands, liabilities, losses, debts, and causes of action, whether known or unknown, that relate to or arise out of the Matter Reference identified above.

Confidentiality

Except as required by law, the parties agree to keep the terms, amount and existence of this Agreement confidential. Disclosure permitted to a party's counsel, accountants, insurers, and as required by court order or regulatory obligation.

Taxes and Withholding

Each party shall be responsible for its own tax obligations arising from the Settlement Amount. If any withholding or tax reporting is required by law, the parties shall cooperate to permit the payment and issuance of required documents.

Representations and Warranties

Each party represents and warrants that it has full authority to enter into this Agreement; that execution and performance will not violate any agreement or law; and that no other person has an interest that would impair the full performance of obligations hereunder.

Default and Remedies

If Payor fails to make any payment when due, Payee shall provide written notice of default to Payor and Payor shall have ten (10) days to cure. If uncured, Payee may pursue all remedies available at law or equity, including acceleration of the balance and collection of fees and costs, including reasonable attorneys' fees.
