Upon receipt and clearance of the payment, the Payee/Claimant shall be deemed to have released the Payor/Settlor from any further liability related to those matters.

The Payee/Claimant represents and warrants that it has the full authority to execute this Certification and to release all claims described herein. The Payee/Claimant further certifies that no additional claims subject to this settlement will be asserted against the Payor/Settlor, except for claims expressly reserved in writing below.

This Certification constitutes an accord and satisfaction.
