The Settlement Agent certifies receipt of the Gross Settlement Amount and represents that all listed deductions, liens, fees and taxes are supported by contemporaneous documentation retained by the Agent. Payment of the Net Distributable shall discharge the Agent of any further obligation with respect to the funds distributed, except as otherwise provided by written agreement between the parties.

Each payee listed represents and warrants that the payee is the proper recipient of the amounts allocated to them, that the tax identification information provided is true and correct, and that the payee shall be solely responsible for reporting and paying any taxes due on amounts received. The payee releases and indemnifies the Settlement Agent from claims arising from incorrect payee information or subsequent disputes among payees.

Any dispute regarding amounts or allocations must be submitted in writing to the Settlement Agent within 10 calendar days of the date of distribution. Absent timely written notice, distributions shall be deemed accepted by the payees.

The Settlement Agent will retain supporting documentation for a period of not less than seven years from the date of distribution and will provide copies to authorized parties upon lawful request.
