Each Party represents and warrants that it has authority to enter into this Document and that the person executing this Document on its behalf is duly authorized. Each Party further warrants that it will cooperate in the preparation of any documentation necessary to effect payment and transfer of funds.

Tax Treatment: Unless otherwise required by law, each Party shall be responsible for its own federal, state and local taxes arising from the receipt or payment of the Settlement Amount. The Parties agree that any required tax withholding shall be deducted from amounts paid where legally necessary and that the paying Party shall provide appropriate documentation of withholding.

Confidentiality and Non-Disclosure

The Parties agree to keep the terms, amount and existence of this settlement confidential, except as required by law, regulation, or legitimate accounting or tax reporting requirements. Any permitted disclosure shall be made only to those advisors or affiliates with a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein.

Breach, Remedies and Indemnification

A material breach of any material obligation in this Document shall entitle the non-breaching Party to pursue all available remedies at law or in equity, including specific performance and damages. The breaching Party shall indemnify and hold harmless the non-breaching Party from any losses, costs and expenses, including reasonable attorneys' fees, incurred in enforcing this Document.

Governing Law and Dispute Resolution

This Document shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising under this Document that is not resolved by negotiation within 30 days shall be submitted to binding arbitration in the county selected by the non-breaching Party, and judgment on the award may be entered in any court of competent jurisdiction.

Fees and Costs

Except as expressly provided herein, each Party shall bear its own costs, expenses and attorneys' fees incurred in connection with the matters giving rise to this Document. The prevailing Party in any enforcement action shall be entitled to recover reasonable attorneys' fees and costs.

Entire Agreement: This Document constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, agreements and understandings, whether written or oral.
