Release: Upon receipt in cleared funds of the Total Settlement Amount in accordance with the Payment Terms set forth above, Receiving Party covenants and agrees to release, remise and forever discharge Settling Party and its officers, directors, employees, agents, affiliates, successors and assigns from any and all claims, demands, causes of action, liabilities and damages of every kind and nature, whether known or unknown, suspected or unsuspected, arising out of or relating to the matters described in the Itemized Settlement Schedule through the Effective Date.

Representations and Warranties: Each party represents that it has full corporate or individual power and authority to enter into this agreement, that the signatory is duly authorized to bind the party, and that execution and performance will not violate other obligations. Each party further represents that, except as disclosed in writing and attached as an addendum, there are no pending claims related to the subject matter of this settlement other than those identified herein.

Covenant Not to Sue: Receiving Party agrees not to initiate any suit, arbitration or other proceeding against Settling Party concerning any matter released by this agreement. This covenant shall not apply to claims arising from breach of this Settlement Agreement.

Default; Remedies

If Settling Party fails to timely make any payment required hereunder, the overdue amount shall bear interest at the rate of from the due date until paid. In the event of non-payment, Receiving Party may seek specific performance, damages, and any costs of collection including reasonable attorneys' fees.

Taxes: Each party shall be responsible for its own tax obligations arising from the receipt or payment of the settlement amounts unless otherwise required by applicable law. Settling Party shall withhold any taxes required by law and shall deliver appropriate withholding certificates to Receiving Party where required.

Governing Law and Dispute Resolution
