Representations and Warranties

Each party represents and warrants that: (a) it has full authority to enter into this Agreement; (b) the person signing has been duly authorized; and (c) entering into this Agreement does not violate any other agreement or duty.

Confidentiality

The parties agree that the terms of this Agreement and any non-public facts concerning the dispute are confidential and shall not be disclosed except as required by law or as reasonably necessary to implement the settlement. If disclosure is required by law, the disclosing party shall provide prompt notice where permitted.

Tax Treatment

Unless otherwise agreed in writing, each party is responsible for its own taxes arising from this settlement. Any tax withholding required by applicable law shall be identified and withheld from the Total Due as set forth above.

Indemnification and Survival

The representations, confidentiality, indemnities, and obligations expressly stated to survive in this Agreement shall survive the execution and payment under this Agreement. Each party shall indemnify the other for breaches of representations or of the confidentiality obligations.

Default and Remedies

If Payor fails to timely pay the Total Due within the Payment Due Date, Payee may pursue any remedies available at law or equity, including interest, collection costs, and attorneys' fees as specified in this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflicts of law principles. Any dispute arising under this Agreement shall be resolved by arbitration or litigation as selected below.
