Representations and Warranties

Issuer represents and warrants to Purchaser that: (a) Issuer is duly organized, validly existing and in good standing under the laws of the jurisdiction of formation; (b) the shares to be issued hereunder, when issued and delivered in accordance with the terms of this Agreement and upon receipt of the Purchase Price, will be validly issued, fully paid and nonassessable; and (c) no consent, approval or authorization of any governmental authority is required for Issuer to perform its obligations under this Agreement except as set forth in writing to Purchaser.

Purchaser represents and warrants to Issuer that: (a) Purchaser has full power and authority to execute and perform its obligations hereunder; (b) funds used to purchase the shares are from lawful sources; and (c) Purchaser is acquiring the shares for investment for Purchaser's own account and not with a view to distribution.
