Indemnification

The Subscriber shall indemnify the Issuer and its officers, directors and agents from and against all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of any breach of the Subscriber's representations, warranties or covenants. The Issuer shall indemnify the Subscriber for breaches of the Issuer's representations and covenants, subject to limitations agreed in writing.

Tax and Regulatory

The parties acknowledge that the issuance of Shares may have tax consequences. Each party is responsible for obtaining its own tax advice and for all tax filings and payments required in respect of the transactions contemplated by this Agreement.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by notice.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the matters herein. If any provision is held unenforceable, the remaining provisions shall remain in full force. This Agreement shall be governed by the laws of the jurisdiction selected by the parties below.
