Upon occurrence of an Event of Default, holders shall have the rights to enforce remedies subject to the priorities established by this Agreement.

Each party represents and warrants that it has the power and authority to enter into this Agreement, that the execution and delivery of this Agreement has been duly authorized, and that this Agreement is a legal, valid and binding obligation of such party enforceable in accordance with its terms. Each party covenants to comply with the material provisions of the primary loan documents and to notify the other party promptly upon knowledge of any Event of Default.

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without regard to principles of conflict of laws. No amendment, waiver or consent shall be effective unless in writing and signed by the party against whom enforcement is sought. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof.

Additional Terms

The parties acknowledge and agree that this short form ICA summarizes certain intercreditor arrangements and is intended to operate in conjunction with, and not in substitution for, the definitive loan or security documents executed by the parties and the borrower.
