FINANCIAL SOLAR CONTRACT

This Financial Solar Contract (the "Contract") is entered into by and between:

Financing Terms

The Provider will provide financing (the "Financing") to Client on the following material terms:

Security, Liens and Title

To secure payment of the Financed Principal and all other obligations under this Contract, Client grants Provider a security interest in the System and related equipment until the Financed Principal and accrued interest are paid in full. Provider may file financing statements and take such actions as necessary to perfect and maintain the security interest.

Warranties, Insurance and Incentives

Provider warrants installation workmanship for the period specified below and passes through manufacturer warranties on equipment. Client shall maintain homeowner insurance covering the System and shall notify Provider of any claim that may affect Provider's security interest.

Change Orders and Additional Work

Any changes to the scope, materials or schedule shall be by written change order signed by both parties and may adjust the Contract Price and the Financing. Client is responsible for charges for additional work approved in writing.

Default, Remedies and Acceleration

If Client fails to make any payment when due or otherwise breaches this Contract, Provider may declare the unpaid balance immediately due and payable following written notice and expiration of the cure period set forth below. Provider's remedies include pursuing collection of amounts due, foreclosure on the security interest, and recovery of collection costs and attorneys' fees.

Notices

All notices required or permitted under this Contract shall be in writing and delivered to the addresses below by certified mail, overnight courier, or personal delivery. Notice is effective on receipt or when refused.

Miscellaneous Terms

Governing Law: This Contract shall be governed by and construed in accordance with the laws of the state in which the System is installed. This Contract constitutes the entire agreement between the parties concerning the subject matter and supersedes prior agreements. No amendment is binding unless in writing and signed by both parties.

Acknowledgements

Client acknowledges receipt of required disclosures, consent for Provider to place a security interest in the System until payment in full, and that Client has had the opportunity to ask questions and receive answers regarding financing terms, system performance estimates, and warranty coverage.
