Typical Signatory Roles and What They Represent

Managing Member

A managing member or designated manager acts as the primary decision-maker for day-to-day operations, with authority to enter contracts, hire staff, and bind the LLC within the scope of delegated powers. Their duties and compensation should be clearly stated to limit disputes and fiduciary exposure.

Non-Managing Member

A non-managing member retains voting rights and profit participation but does not handle daily management. Specify voting thresholds, information rights, distributions, and buyout mechanisms to protect passive investors and maintain limited liability shields.
