What the Financial SPA Draft Covers

The Financial SPA Draft is a preparatory share purchase agreement (SPA) template used to document the sale and transfer of equity, assets, or financial instruments between buyer and seller. It sets out parties, purchase price and consideration, representations and warranties, covenants, closing conditions, indemnities, and schedules. The draft is intended for negotiation and completion prior to signing and closing, and it can be executed electronically where parties comply with U.S. e-signature law and any notarization rules that apply to the transaction or ancillary filings.

Why a Clear SPA Draft Matters

A well-prepared SPA draft reduces negotiation friction, allocates commercial and legal risk, supports financing and regulatory checks, and creates an auditable record for closing and post-closing obligations. Using an executable draft helps preserve deal economics and evidence of intent if disputes arise.

Why a Clear SPA Draft Matters

Core Sections to Include in the Financial SPA Draft

These six components form the backbone of a transaction SPA and should appear in every professional draft to ensure commercial clarity and legal enforceability.

Parties & Recitals

Identify buyer(s), seller(s), legal form, and transaction background; confirm capacity to contract and attach organizational details and share schedules.

Purchase Price

Specify consideration (cash, shares, promissory notes), currency, adjustments, escrow mechanics, tax gross-up, and payment timing tied to closing conditions.

Representations & Warranties

Allocate risk by listing factual statements about the target and seller; include survival periods, disclosure schedules, and materiality thresholds.

Covenants

Describe pre-closing covenants (conduct of business), interim restrictions, and post-closing obligations such as escrow releases and transition assistance.

Closing Conditions

List conditions precedent for each party, required approvals, regulatory filings, third-party consents, and mechanisms for waiver or cure.

Indemnities & Remedies

Set indemnity scope, caps, baskets, notice and claim procedures, and remedies including specific performance, damages, and dispute resolution.

Step-by-Step: From Draft to Signed SPA

A clear sequence reduces closing delays. Follow these steps from initial draft through execution and recordkeeping.

  • 01
Prepare Draft: Assemble core clauses, schedules, and disclosure documents for initial negotiation.
  • 02
Negotiate Terms: Track changes, confirm tax and indemnity positions, and obtain internal approvals.
  • 03
Finalize Attachments: Confirm all exhibits, corporate authorizations, and regulatory filings are complete.
  • 04
Execute & Archive: Execute with required signatures, capture the audit trail, and archive executed originals in records.

Configuring an Electronic Signing Workflow for the SPA

Typical workflow settings ensure correct signer order, authentication, notifications, and evidence capture for a compliant e-execution.

Field Configuration
Role Order Set signing order: seller, buyer, escrow agent, then counsel
Authentication Use email + SMS code or stronger methods for high-value deals
Auto-reminders Enable automated reminders and expiration windows for unsigned invites
Audit Trail Capture timestamps, IPs, and action logs for each signer

Typical eSubmission and Signing Flow

Electronic execution follows a repeatable flow to preserve intent and attribution across remote participants.

  • Upload Document: Sender uploads final SPA and attaches exhibits
  • Place Fields: Add signature, date, and initial fields where required
  • Assign Signers: Enter signer emails and set signing order or parallel signing
  • Authenticate & Sign: Signers authenticate, review, and apply electronic signatures

Who Typically Prepares and Signs a Financial SPA

Document ownership typically remains with buyer counsel or the party tasked with closing administration; maintain a clear chain of custody for the executed SPA and exhibits.

  • Buyers (corporate development or private equity teams) — review commercial and financing terms, perform due diligence, and approve closing mechanics
  • Sellers and management — confirm disclosure schedules, authorize execution, and negotiate indemnity and tax treatment
  • Legal and tax advisors — draft representations, advise on regulatory consents, and prepare schedules and closing deliverables

Representative Signer Profiles

Seller Representative

CEO or authorized officer who provides corporate representatives and executes on behalf of selling entities. Must have board authorization per minutes or written corporate resolution and be named exactly as the signatory in the signature block.

Buyer Counsel

Lead transactional attorney who reviews SPA, coordinates escrow and closing conditions, and often receives the final executed original for recordkeeping. Counsel confirms authentication method and signs closing certificates as required.

Common Preparation Errors to Avoid

  • Missing or inconsistent schedules and exhibits that create ambiguity about disclosed liabilities or assets
  • Vague purchase price language without clear adjustment formulas, timing, or currency specification
  • Unclear closing conditions or failure to list required third-party consents by name and deadline
  • Improper signatory authority or unsigned corporate resolutions that delay recordation or closing

Key Risks and Potential Consequences

Breach Damages: Monetary liability
Tax Reporting: Penalties under IRC §6721
Delayed Financing: Funding drawdowns postponed
Unenforceable Clauses: Ambiguous terms invalidated
Confidentiality Breach: Reputational and legal exposure
Record Deficiencies: Loss of documentary evidence

Practical Tips for Accurate, Efficient SPA Completion

Follow these practices to reduce errors, accelerate closing, and preserve legal protections.

Centralize Document Control
Maintain a single source of truth for SPA versions and exhibits. Use versioned filenames and a controlled review cycle, and require redlines to be reconciled before finalizing the execution copy.
Use Defined Terms Consistently
Define capitalized terms in a single section and use them verbatim throughout the document. Inconsistent definitions create interpretive disputes and drafting weaknesses during enforcement or tax review.
Confirm Signatory Authority
Obtain and attach corporate resolutions or officer certificates verifying execution authority. For multi-entity sellers, include a signature matrix to prevent unsigned obligations or challenges at closing.
Capture Execution Evidence
Preserve audit trails, certificates of completion, and any RON recordings if used. Store executed copies and related approvals in a secure repository with access logs for at least the retention period.
