FINANCIAL SPONSORSHIP AGREEMENT

RECITALS

WHEREAS, Sponsor desires to provide financial support to Recipient for the purposes described in this Agreement; and WHEREAS, Recipient warrants it will apply sponsored funds to the designated purpose and provide reporting as required herein.

DEFINITIONS

For purposes of this Agreement: "Sponsorship Funds" means monetary contributions set forth in the Payment Schedule; "Permitted Use" means the activities described in the Purpose section below.

REPRESENTATIONS, WARRANTIES, AND COVENANTS

Each party represents and warrants that it has full authority to enter into this Agreement, that its execution will not violate other agreements, and that funds will not be used for unlawful purposes. Recipient covenants to use reasonable fiscal controls and to comply with applicable laws.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from claims arising out of its breach of this Agreement or willful misconduct. Except for breaches of confidentiality or indemnification obligations, neither party shall be liable for consequential damages.

CONFIDENTIALITY

Confidential information disclosed by one party to the other shall be held in confidence and used only to perform obligations under this Agreement for a period of unless otherwise required by law.

TERMINATION

This Agreement may be terminated by mutual written agreement or by either party for material breach following thirty (30) days' written notice and failure to cure. Upon termination, Recipient shall return unexpended funds to Sponsor unless otherwise agreed in writing.

INSURANCE

Recipient shall maintain insurance customary for its operations and sufficient to cover activities funded by Sponsorship Funds. Evidence of insurance shall be provided upon Sponsor's written request.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the jurisdiction specified below. The parties will attempt to resolve disputes in good faith; unresolved disputes shall be resolved by binding arbitration in that jurisdiction unless otherwise agreed.

Notices under this Agreement shall be sent to the addresses below and shall be effective upon receipt.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes prior agreements. Amendments must be made in writing and signed by both parties. If a provision is declared unenforceable, the remainder survives.
