WHEREAS, Sponsor desires to provide financial support to Recipient for the purposes set forth herein; and WHEREAS, Recipient seeks to obtain such support and agrees to use the funds solely for the approved purposes and subject to the terms and conditions of this Contract.

Definitions

For purposes of this Contract: "Approved Purposes" means the activities and budget items described in Schedule A; "Sponsorship Funds" means the amounts to be paid by Sponsor to Recipient under Section 3; "Quarter" means a three-month reporting period as agreed by the parties.

Sponsor agrees to provide Sponsorship Funds to Recipient in accordance with the itemized payment schedule below. All amounts are in U.S. Dollars unless otherwise indicated.

Payment Method and Instructions

Payments shall be made in accordance with the schedule above and conditioned upon receipt of any required deliverables or documentation. Late payments are subject to the Late Fee policy set forth herein.

Use of Funds; Restrictions

Recipient shall apply Sponsorship Funds only to Approved Purposes. Any material deviation requires prior written consent of Sponsor. Recipient will maintain funds in separate accounts or accounting codes and shall not commingle Sponsorship Funds with other operating funds.

Reporting, Records, and Audit

Recipient shall submit reports and financial statements as specified below. Sponsor reserves the right to inspect records related to the use of Sponsorship Funds upon reasonable notice and during normal business hours.

Publicity, Acknowledgement, and Intellectual Property

Recipient grants Sponsor a non-exclusive right to use Recipient's name and approved logos for the purpose of acknowledging the sponsorship. Any use of Sponsor trademarks or marks by Recipient requires prior written approval.

Term; Termination; Remedies

The Term of this Contract shall commence on the Effective Date and continue until completion of Approved Purposes unless earlier terminated as provided below. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after receipt of written notice.

Representations, Warranties and Compliance

Each party represents and warrants that it has full power and authority to enter into this Contract and that performance will comply with all applicable laws and regulations. Recipient represents that funds will be used in accordance with charitable or organizational obligations and that it is duly organized and in good standing.

Recipient shall indemnify, defend and hold harmless Sponsor from any claims arising from Recipient's negligence, breach of this Contract, or misuse of Sponsorship Funds. Recipient shall maintain insurance coverages adequate to protect Sponsor's interests and shall provide certificates of insurance upon request.

All notices required or permitted under this Contract shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by notice).

Governing Law; Dispute Resolution

This Contract shall be governed by the laws of the jurisdiction specified below without regard to conflicts of law principles. The parties agree to attempt good faith negotiation and, if unresolved, to submit disputes to binding arbitration under the rules the parties agree upon.

Amendment; Assignment; Miscellaneous

No amendment to this Contract shall be effective unless in writing and signed by both parties. Neither party may assign its rights or delegate its duties without the prior written consent of the other, except to a successor in interest by merger or acquisition.
