What a Financial Strategy Agreement Is

A Financial Strategy Agreement is a written contract that documents the professional relationship between a client and a financial advisor or firm. It defines the scope of advisory services, investment objectives, fees and compensation, client responsibilities, confidentiality, reporting expectations, and procedures for termination or amendment. Properly executed, it creates enforceable rights and obligations and supports regulatory compliance for recordkeeping and audits. Electronic execution is generally acceptable under the federal ESIGN Act (15 U.S.C. ch. 96) and state UETA statutes, subject to listed statutory exceptions.

Why a Written Agreement Matters

A clear Financial Strategy Agreement reduces disputes, documents advisor scope and fees, and preserves client consent. It establishes performance expectations, audit records, and a basis for regulatory compliance. Properly executed electronic versions provide timestamps and audit trails that support enforceability under ESIGN and UETA.

Why a Written Agreement Matters

Who Typically Uses This Agreement

Typical users include professional advisors and organizations that formalize investment or planning services for clients.

  • Independent financial advisors and RIAs managing client investment strategies and regulatory compliance.
  • Institutional finance teams and corporate treasury groups documenting advisory relationships.
  • Legal counsel and trustees when formalizing fiduciary duties or portfolio mandates.

Use the agreement when you need written scope, fee clarity, or a record suitable for audits and regulatory review.

Essential Sections to Include

Core sections define services, investment approach, compensation, confidentiality, performance reporting, and dispute or termination mechanics to ensure clarity and enforceability between parties.

Scope of Services

Describe specific advisory activities, deliverables, and exclusions. Include frequency of review, investment restrictions, benchmarks, delegated authorities, and any limits on asset classes or third-party services permitted under the engagement.

Investment Strategy

State objectives, risk tolerance, permitted instruments, rebalancing rules, and model portfolios. Specify target asset allocation ranges and how changes to strategy will be approved or communicated to the client.

Fees and Compensation

List fee schedule, calculation methods (AUM, flat fee, retainer), billing frequency, expense reimbursements, performance fees, and procedures for fee disputes or refunds.

Confidentiality

Reporting Requirements

Detail delivery cadence, report formats, performance metrics, custodial statements reconciliation, and who will receive reports. Include electronic delivery consent and retention period for records.

Termination & Amendments
