Financial Controls and Audit

Provider shall maintain detailed billing records and make them available to Client for audit upon written notice not more than once per 12-month period. Audits shall be limited to charges for the prior 24 months. Where an audit reveals an underbilling in excess of 2% of amounts invoiced, Provider will promptly credit Client the difference and reimburse reasonable audit costs.

Fees, Credits, and Adjustments

All fees are non-refundable unless otherwise set forth herein. Service credits for unplanned downtime are the exclusive remedy for failure to meet availability commitments described in the service schedule. Credits are applied to future invoices and do not constitute a refund unless expressly agreed in writing by Provider.

Taxes and Regulatory Charges

All fees are exclusive of taxes, duties, levies or similar governmental charges. Client is responsible for all such taxes, except taxes based on Provider's net income. If Provider is required to collect any tax, it will be separately itemized on the invoice.

Security, Confidentiality and Data Charges

Provider will maintain commercially reasonable administrative, physical and technical safeguards for protection of Client Data. Charges for storage, egress, and data migration are billed as set forth in the itemized schedule. Provider retains the right to assess reasonable fees for retrieval and transfer of archived data after termination; such fees will be disclosed in the final invoice and are payable under standard payment terms.

Default, Termination, and Remedies

If Client fails to pay any amount when due and such failure continues for 30 days after Provider's written notice, Provider may suspend services or terminate for cause. Upon termination for Client nonpayment, all unpaid fees and charges become immediately due and payable. Termination shall be without prejudice to any other remedies available at law or equity.

Limitation of Liability and Indemnity

Except for indemnification obligations and breaches of confidentiality, the aggregate liability of each party arising out of or relating to this document shall not exceed the total fees paid by Client to Provider under this document during the preceding 12 months. Each party shall indemnify the other for third-party claims arising from its breach of obligations or negligent acts.

All notices must be sent to the billing addresses above or to an alternative address provided in writing. This document is governed by the substantive laws of the jurisdiction specified by the parties and exclusive venue shall be the courts of that jurisdiction unless otherwise agreed in writing.

What the Financial Stratim Cloud Document Is

The Financial Stratim Cloud Document is a standardized cloud-hosted record used to request, transmit, and authorize use of financial data between organizations and third-party platforms. It combines a data-access authorization, a summary of delivered datasets, and signature blocks to record approvals, audit history, and processing instructions under U.S. e-signature law and common financial recordkeeping practices.

Why this document matters and its legal footing

The document centralizes consent, data-scoping, and auditability for financial data exchanges while preserving legal enforceability: electronic signatures meet ESIGN (15 U.S.C. ch. 96) and UETA standards for intent, consent, attribution, and retention when executed properly.
