FINANCIAL SUBSCRIPTION ADDENDUM

Effective Date:   This Financial Subscription Addendum (the Addendum) is made and entered into by and between the parties identified below and supplements the terms of the Subscription Agreement referenced herein. This Addendum sets forth additional subscription terms, representations, conditions to closing, and remedies applicable to the purchase of the financial instruments described herein.

Representations and Warranties

The Subscriber hereby represents and warrants to the Issuer that, as of the Effective Date and the Closing Date:

(a) The Subscriber has full power, authority and legal capacity to enter into and perform its obligations under this Addendum and the Subscription Agreement.

(b) The Subscriber is acquiring the securities for investment for its own account, not as a nominee or agent, and not with a view to distribution in violation of applicable securities laws.

(c) The Subscriber is an accredited investor or otherwise satisfies the suitability standards required by the Issuer. Check all that apply:

Conditions to Closing

The obligations of the parties to consummate the Closing are subject to the satisfaction or waiver, at or prior to Closing, of the following conditions:

(i) Receipt by the Issuer of the Purchase Price in accordance with the Payment Method specified above.

(ii) Delivery of all certificates, signatures, opinions, and documents required by the Subscription Agreement and such additional documents reasonably requested by either party. Confirm delivered items:

Transfer Restrictions and Legends

All securities issued pursuant to this Addendum shall bear appropriate legends restricting transfer in accordance with applicable securities laws and the Issuer's governing documents. The Subscriber acknowledges such legends and restrictions and agrees not to transfer the securities except in compliance with all applicable laws and the Issuer's transfer restrictions.

Indemnification; Survival

Each party shall indemnify and hold harmless the other party from and against any losses, claims, liabilities, or expenses arising out of any breach of its representations, warranties or covenants contained in this Addendum. The representations, warranties, and covenants herein shall survive the Closing as set forth in the Subscription Agreement.

Governing Law; Notices

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

Amendments; Counterparts

This Addendum may be amended only by a written instrument signed by both parties. This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

Miscellaneous

If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation.
