This Financial Subscription Package Agreement (the Agreement) is entered into between the parties below for the provision and receipt of recurring financial services, software access, data feeds, reporting, and related professional services identified in the subscription schedule. The terms set forth herein constitute the complete agreement governing subscription, fees, billing, service levels, confidentiality, termination and other material provisions.

By signing below, Subscriber authorizes Provider to charge the Subscription fees in accordance with the billing frequency selected and authorizes automatic renewal and automatic payment where applicable. Subscriber agrees to provide and maintain valid payment credentials and to notify Provider of any changes at least 10 days prior to the next billing date.

Terms, Rights & Remedies

Services: Provider will deliver the services and deliverables described in the Package Description. Provider retains ownership of Provider intellectual property and grants Subscriber a limited, non-exclusive, non-transferable license to use deliverables for Subscriber's internal business purposes only, subject to payment and compliance with this Agreement.

Confidentiality: Each party shall keep confidential the other party's non-public information disclosed in connection with this Agreement and will not use such information except to perform under this Agreement. Confidential information does not include information that is publicly available through no breach of this Agreement.

Suspension & Termination: Provider may suspend services for non-payment after 15 days' written notice and may terminate for material breach if such breach is not cured within 30 days. Subscriber may terminate for material breach by Provider if Provider fails to cure within 30 days. Termination does not relieve Subscriber of obligations to pay accrued fees and any reasonable wind-down costs.

Refunds & Credits: Refunds are available only as expressly provided in the applicable subscription schedule. Provider's sole obligation for service interruptions or failures, to the extent permitted herein, will be to provide pro rata credits for the affected service period where determined appropriate by Provider in its reasonable discretion.

Indemnification: Each party shall indemnify, defend and hold harmless the other against claims arising from its gross negligence, willful misconduct or breach of confidentiality. Provider will defend Subscriber against third-party claims that Provider-supplied deliverables infringe third-party intellectual property rights and will indemnify for final judgments arising therefrom, subject to Provider's sole remedy to obtain a license or replace/modify the deliverable.

Limitation of Liability: Except for wilful misconduct, a party's liability under this Agreement shall not exceed the fees actually paid by Subscriber to Provider under this Agreement in the twelve (12) months preceding the claim. Neither party shall be liable for indirect, incidental, special or consequential damages.

Governing Law & Disputes: This Agreement is governed by the laws of the jurisdiction specified in the subscription schedule. Disputes will be resolved first by good-faith negotiation and, if unresolved, by binding arbitration or litigation as provided in the subscription schedule.

Payment & Late Fee Policy

Payment is due on the date invoiced unless otherwise agreed. Late payments incur interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, plus collection costs. Provider may suspend services for overdue accounts and retain any pre-paid fees.

All notices required under this Agreement shall be in writing and delivered to the contact information provided above. Notices are effective upon receipt when delivered by hand, nationally recognized courier, or confirmed electronic transmission to the authorized contact.

Acceptance

The parties acknowledge and agree that execution of this Agreement by authorized representatives binds the parties to the terms and conditions herein. By signing, Subscriber acknowledges receipt of the subscription package description and agrees to pay fees in accordance with this Agreement.
