Costs incurred prior to the award period or not allocable to the award will not be charged to the subsidy. The Recipient will obtain written approval for any material change in scope or budget.

The Recipient will maintain separate records and accounting sufficient to demonstrate that funds have been used in accordance with the award and generally accepted accounting principles. Indirect cost rates, if applicable, are subject to approval and audit.

The Recipient agrees to submit timely financial and performance reports as required by the award. Failure to submit required reports, or submission of materially inaccurate reports, may result in suspension, termination, or recovery of funds.

The Recipient will comply with all applicable nondiscrimination laws and will not discriminate in any programmatic or employment practice funded in whole or in part by the subsidy.

The Recipient will follow procurement procedures that provide full and open competition, prevent conflicts of interest, and comply with any procurement provisions set forth in the award document.

The Recipient will disclose any actual or potential conflicts of interest and will not award contracts or subawards to related parties except under documented and approved conflict mitigation measures.

The Recipient agrees to repay funds deemed unallowable or improperly spent and acknowledges that the funding agency may pursue all remedies available under the award terms, contract law, or statutory authority, including setoff, debt collection, and referral to collections.
