FINANCIAL SWAP AGREEMENT

This Financial Swap Agreement (Agreement) is entered into as of Effective Date: between the parties set forth below.

Calculations and Payment Mechanics

Calculation Agent:

All amounts payable under this Agreement shall be calculated by the Calculation Agent in accordance with the definitions and conventions set forth herein. Interest periods, rate determinations, compounding, and rounding shall follow market practice unless otherwise specified.

Netting, Settlement and Termination

Payment Netting: All amounts payable between the parties on the same Payment Date shall be netted such that only a single net payment is due from the net debtor to the net creditor. Netting shall be mandatory and binding on the parties.

Early Termination: Upon the occurrence of an Event of Default or Termination Event, the non-defaulting party may terminate this Agreement pursuant to the Close-out and Set-off provisions herein. Termination amount shall be the market value of remaining obligations as determined in good faith by the Calculation Agent, subject to the Close-out Amount calculation below.

Events of Default and Remedies

Events of Default include non-payment, breach of material representations or covenants, bankruptcy or insolvency, cross-default to other material obligations, and any other event agreed by the parties in writing. Upon Event of Default, the non-defaulting party may suspend performance, terminate, accelerate obligations, and exercise set-off rights.

Representations, Warranties and Covenants

Each party represents and warrants to the other that: it is duly organized and in good standing; it has the power and authority to enter into and perform this Agreement; the execution, delivery and performance of this Agreement have been duly authorized; and this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms.

Credit Support and Security

Credit Support: The parties agree that credit support, if required, will be governed by a separate Credit Support Annex executed contemporaneously with this Agreement. Indicate whether credit support is attached: Yes No

Tax Matters

Each party shall be responsible for any taxes imposed on amounts payable to it under this Agreement except as expressly agreed. Each party shall provide applicable tax documentation and shall indemnify the other for taxes, interest and penalties resulting from its failure to comply with tax withholding obligations.

Notices

All notices, demands and communications required or permitted hereunder shall be in writing and delivered to the notices address for each party as provided below. Notice is effective upon receipt.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified below, without regard to conflicts of law principles. The parties agree to submit to the exclusive jurisdiction of the competent courts of that jurisdiction unless they elect arbitration by mutual agreement.

Confidentiality

Each party shall keep confidential all non-public information concerning the other party obtained in connection with this Agreement and shall not disclose such information except as required by law or as necessary to perform its obligations under this Agreement. Confidentiality obligations shall survive termination.

Amendments, Assignment and Miscellaneous

No amendment or waiver of this Agreement shall be effective unless in writing and executed by authorized representatives of both parties. Neither party may assign its rights or obligations without the prior written consent of the other, except to a successor by merger or acquisition.

Each party certifies that the person executing this Agreement on its behalf is duly authorized to do so, that it has read and understands the terms and that entering into this Agreement does not violate any other agreement, law, regulation, or order to which it is subject.
