What the Financial Tax Consulting Agreement Is

A Financial Tax Consulting Agreement is a written contract that sets out the scope, responsibilities, fees, and deliverables when a tax consultant or firm provides advisory, preparation, or planning services. It defines client and consultant obligations, the tax services provided, confidentiality, payment terms, liability limits, and the effective date for the engagement.

Why this Agreement Matters and Its Legal Basis

Use a clear Financial Tax Consulting Agreement to reduce billing disputes, document tax-reporting responsibilities, and allocate risk. Electronic execution is enforceable under the ESIGN Act (15 U.S.C. ch. 96) and UETA where adopted, provided intent, consent, attribution, and record retention requirements are met.

Why this Agreement Matters and Its Legal Basis

Who Typically Uses a Financial Tax Consulting Agreement

Tailor the agreement to the party roles, billing model, and applicable regulatory constraints for financial or health information when relevant.

  • Independent consultants and boutique tax firms advising on return preparation, planning, or controversy matters for multiple clients.
  • Corporate finance and tax departments contracting external specialists for one-off projects, audits, or international tax guidance.
  • Small and mid-sized businesses that need fixed-scope engagements or retainers for recurring tax advisory services.

Typical Signatories and Their Roles

Tax Consultant

A licensed preparer, CPA, or enrolled agent who will perform services. The consultant signs to accept scope, fees, and confidentiality obligations and should list professional credentials and PTIN where required.

Client Representative

An authorized officer, owner, or finance lead who has authority to bind the client. The signer should be identified by title and must confirm authority to accept payment terms and tax-reporting responsibilities.

Key Clauses Every Professional Agreement Should Include
