Common Preparation Mistakes to Avoid

  • Using informal or abbreviated legal names across related schedules creates reconciliation errors and can trigger tax reporting mismatches or bank account verification failures during audits.
  • Omitting interest rate specifics, repayment schedules, or default remedies in intercompany loans leaves enforceability gaps and complicates creditor claims under insolvency scenarios.
  • Failing to notarize or secure required witness signatures in jurisdictions that mandate them can delay closings and increase the cost of corrective filings.
  • Relying on inconsistent governing law clauses across affiliate agreements causes interpretation conflicts and may subject the group to multiple legal regimes during disputes.

Signatory Roles and Who Typically Signs

CFO

The Chief Financial Officer typically approves capital structure changes, certifies intercompany loan terms, and signs on behalf of the holding company. The CFO ensures accounting treatments align with GAAP, prepares required schedules for auditors, and liaises with lenders on covenant tests and reporting.
