What a Financial Technology Agreement Covers

A Financial Technology Agreement is a contractual document that defines services, data use, security, compliance, fees, and operational responsibilities between a fintech provider and a counterparty. Typical provisions cover payment processing or data-access permissions, service levels, API usage, liability allocation, confidentiality, and privacy obligations. In many cases the agreement also specifies regulatory controls, audit rights, incident response, and data retention. For U.S. transactions, the agreement is commonly executed electronically under ESIGN and UETA-compliant workflows; ancillary exhibits may address HIPAA, PCI-DSS, or industry-specific compliance requirements.

Why this Agreement Matters for Risk and Compliance

A clear Financial Technology Agreement allocates operational risk, documents compliance with data and payments law, and preserves auditability. Electronic execution under the ESIGN Act (15 U.S.C. §7001) and UETA (1999) supports enforceability while enabling faster onboarding and consistent record retention.

Why this Agreement Matters for Risk and Compliance

Who Typically Prepares and Signs This Agreement

Common users include fintech vendors, banks, and service partners who need a binding record of data handling and payment terms.

  • Fintech companies and payment processors coordinating API access, settlement timing, and merchant onboarding requirements.
  • Banks, credit unions, and financial institutions managing third-party risk and regulatory reporting responsibilities.
  • Technology vendors, marketplaces, and accounting providers that require clear terms for data use, fees, and service levels.

Roles listed below often collaborate: legal drafts terms, compliance sets controls, and operations implements integration and monitoring.

Who Signs on Behalf of Each Party

Vendor Signatory

Chief Legal Officer or authorized contracting executive. Responsible for warranty, indemnity, and data-security commitments; may require board or delegated approval for material terms or pricing schedules.

Customer Signatory

Chief Compliance Officer or procurement lead. Signs for acceptance of service levels, data processing terms, and any consent disclosures required by consumer-facing statutes.

Core Sections to Include in a Professional Agreement

A complete Financial Technology Agreement groups operational, legal, and security terms so each party’s responsibilities are explicit and auditable.

Scope of Services

Clearly define permitted services, API endpoints, supported transactions, and any excluded functionality to avoid post-contract disputes.

Data Handling

Specify categories of data exchanged, permitted uses, encryption, storage location, retention limits, and breach notification procedures.

Fees and Billing

State pricing model, invoicing cadence, dispute resolution for charges, and any fee change mechanism or notice periods.

Security and Compliance

List applicable frameworks (PCI-DSS, SOC 2, HIPAA where needed), audit rights, and security controls such as encryption and access management.

Liability and Indemnity

Allocate responsibility for breaches, third-party claims, and caps on damages, including carve-outs for willful misconduct.

Termination and Transition

Define notice periods, data return or deletion, and obligations during wind-down to preserve continuity and regulatory compliance.

Step-by-Step: Complete and Execute the Agreement

Follow this sequence to prepare, review, and execute the Financial Technology Agreement efficiently and compliantly.

  • 01
Draft Terms: Populate scope, fees, and security clauses in a shared draft for legal review.
  • 02
Internal Approval: Obtain procurement, finance, and compliance approvals before counterparty review.
  • 03
Counterparty Review: Share draft with signing party and incorporate negotiated changes, tracked in a redline.
  • 04
Execution: Execute electronically or in writing; capture audit trail and distribute final fully-signed copies to stakeholders.

Typical Electronic Execution Flow

A typical e-execution workflow reduces paperwork while preserving evidentiary detail required for enforcement or audits.

  • Upload Document: Sender uploads final PDF or DOCX and positions signature and date fields.
  • Add Signers: Assign signer roles, order, and required authentication methods for each participant.
  • Notify Signers: Platform emails or provides links; signers authenticate and review the document.
  • Completion: Signed document and audit trail are archived; each party receives a copy and certificate.

Configure an Online Signing Workflow

Set these workflow settings before sending to ensure correct signer authentication, routing, and retention.

Field Configuration
Authentication Email link, SMS code, or KBA depending on risk level
Routing Order Sequential or parallel signer order as required by contract
Conditional Fields Show or hide fields based on prior responses or signatory role
Retention Settings Specify archival period and export format for compliance

Technical Considerations for eSigning and Integration

Confirm platform compatibility, authentication levels, and how signed records will be stored and exported.

  • Integrations: Salesforce, NetSuite, Microsoft 365, Google Workspace supported
  • File Types: PDF, DOCX, and Excel supported for upload and export
  • Authentication: Email, SMS, KBA, and SSO options

Common Deadlines and Timing Expectations

Track negotiation, execution, onboarding, and regulatory reporting timelines to meet operational and compliance obligations.

Negotiation Window:

Allow 7–30 days depending on complexity and internal review cycles

Execution Target:

Aim for signature within 1–5 business days after final approval

Onboarding Period:

Technical integration and testing commonly take 2–8 weeks

Regulatory Reporting:

Prepare to meet any industry-specific reporting deadlines post-implementation

Record Availability:

Fully executed copies should be archived and accessible within 24–72 hours

Key Milestones from Draft to Live

Sequential milestones show the usual lifecycle from initial draft through production go-live.

01

Draft Approval

Legal and compliance sign-off on terms and attachments

02

Counterparty Review

Counterparty returns redlines or approves final draft

03

Execution

Document is signed and timestamped electronically

04

Onboarding Go-Live

APIs enabled and transactions processed under live credentials

Common Preparation Mistakes to Avoid

  • Using informal or ambiguous service descriptions that create scope disputes and billing ambiguity later.
  • Failing to specify data residency and encryption obligations, which complicates regulatory compliance during audits.
  • Overlooking required consents for consumer-facing records, risking ESIGN consumer-disclosure violations and unenforceability.
  • Not capturing an auditable signing record or incorrect signer authentication, which weakens evidentiary value if contested.

Primary Legal and Financial Risks

Tax Reporting Penalties: 1099 late penalties up to $330 per form
I-9 Violations: $281–$2,789 per paperwork violation
Intentional Noncompliance: Intentional disregard penalties $660+ per form
Data Breach Liability: Regulatory fines and notification costs
Contractual Damages: Breach exposure per agreed liability caps
Operational Disruption: Integration failures can cause settlement delays
