The Firm will perform the services described below for the Client. Services are limited to those expressly set out in the Scope and any additional services will require written authorization and may be subject to additional fees.

Invoices are due within days of receipt. Late payments shall incur a late fee of per month (or the maximum permitted by law) and interest at % APR on overdue balances.

Expenses and Third-Party Costs

Client shall reimburse reasonable out-of-pocket expenses incurred by the Firm in connection with the services, including but not limited to travel, filing fees, courier charges, and third-party vendor fees, provided such expenses are billed with supporting documentation.

Taxes

Fees and expenses are exclusive of taxes. The Client is responsible for any applicable sales, use, value-added, or other taxes arising from the provision of services, except for taxes based on the Firm's net income.

Confidentiality; Data

Each party will protect confidential information of the other party with at least the same degree of care it uses to protect its own confidential information but not less than reasonable care. Confidential information does not include information that is or becomes publicly available through no breach of this Agreement.

Conflicts, Independence & Professional Standards

The Firm represents that it will comply with applicable professional standards and, to the best of its knowledge, has no conflicts that would impair its ability to perform the services. If a potential conflict arises, the Firm shall disclose it promptly in writing.

Records, Audit & Retention

The Firm will retain work papers and records related to the engagement for a period of unless otherwise required by law. Client may request reasonable access to records relevant to billing and services subject to confidentiality constraints.

Termination

Either party may terminate this engagement on written notice to the other. Upon termination, Client shall pay for all services performed and expenses incurred through the effective date of termination. Termination requires days' prior written notice unless termination is for material breach.

Indemnity; Limitation of Liability

Each party shall indemnify the other for losses resulting from its negligence or willful misconduct. Except to the extent prohibited by law, the Firm's aggregate liability arising out of or in connection with this engagement shall not exceed the fees paid by the Client to the Firm under this Agreement in the twelve months preceding the claim.

Governing Law; Dispute Resolution

This Agreement is governed by the laws of the jurisdiction selected by the parties. Parties shall attempt to resolve disputes in good faith; if unresolved, disputes will be resolved by binding arbitration in the agreed forum unless otherwise required by applicable law.
