FINANCIAL TERMS OF SERVICE

This Financial Terms of Service ("Agreement") is entered into as of by and between Service Provider: with principal place of business at , and Client: with address at .

1. Definitions

Capitalized terms used in this Agreement have the following meanings unless the context requires otherwise: "Services" mean the financial products and services specifically described in Section 2; "Fees" mean the charges, rates and other amounts payable by Client to Provider under Section 3; "Confidential Information" means nonpublic information disclosed in connection with this Agreement.

Provider will issue invoices in accordance with the Billing Frequency above. Payment is due within days of invoice date unless otherwise agreed in writing.

Late payments will incur a late fee and interest. Late fee policy: flat fee of and interest at on outstanding amounts, compounded monthly to the extent permitted by law.

5. Taxes and Withholding

All amounts payable are exclusive of taxes and governmental charges. Client is responsible for any taxes attributable to the Services, except taxes based on Provider's net income. If Client is required by law to withhold taxes, Client shall provide Provider with official documentation of such withholding.

6. Refunds and Disputes

Refunds, if any, will be issued only in accordance with Provider's refund policy and only upon written agreement. Client must notify Provider in writing of any disputed charges within days of invoice receipt; failure to notify is a waiver of disputes.

7. Confidentiality and Data Security

Each party shall maintain the confidentiality of Confidential Information and use commercially reasonable administrative, physical and technical safeguards to protect Confidential Information. Provider shall implement industry-standard data security practices appropriate to the Services provided.

8. Compliance, Licenses and Anti-Money Laundering

Each party shall comply with all applicable laws, rules and regulations, including those related to anti-money laundering, sanctions and privacy. Client shall provide reasonable information and cooperation required for Provider to satisfy regulatory obligations.

9. Warranties; Disclaimers

Provider warrants that it will perform Services in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Limitation of Liability

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, OR VIOLATIONS OF LAW, EACH PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO PROVIDER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

11. Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct, subject to the limitations in Section 10.

12. Term and Termination

This Agreement commences on the Effective Date and continues for an initial term of months, and renews automatically for successive periods unless terminated in accordance with this Section. Either party may terminate for material breach if the breach is not cured within days after written notice.

13. Notices

All notices and communications under this Agreement must be in writing and delivered to the addresses set forth above or to such other address as a party designates by notice. Notices are effective upon receipt.

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles. The parties agree to attempt to resolve disputes through negotiation and, if unresolved, through binding arbitration in accordance with the arbitration provisions mutually agreed upon by the parties.

15. Amendments; Assignment

This Agreement may be amended only by a written instrument signed by both parties. Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to a successor in connection with a merger or sale of substantially all of its assets.
