Late Payment: Unpaid amounts shall incur interest at and reasonable collection costs. Provider may suspend services for delinquent payments after written notice.

Expenses and Taxes

Pre-approved out-of-pocket expenses will be reimbursed upon submission of receipts. All fees are exclusive of withholding and other taxes unless otherwise indicated. The party required by law to collect and remit taxes shall do so and provide supporting documentation upon request.

Confidentiality and Data Protection

Each party shall keep confidential all non-public information disclosed in connection with this Agreement and shall only use such information to perform obligations hereunder. Parties shall implement appropriate technical and organizational measures to protect personal data and comply with applicable data protection laws.

Representations; Compliance; AML

Each party represents and warrants that it will comply with all applicable laws, including anti-money laundering and sanctions laws. Client shall provide evidence of identity, beneficial owners, and source of funds where required by Provider's compliance procedures.

Indemnity and Liability

Each party agrees to indemnify and hold harmless the other party from claims, liabilities, losses and expenses arising from breach of this Agreement, willful misconduct, or gross negligence. Except for liability resulting from willful misconduct or fraudulent acts, the aggregate liability of either party for direct damages shall not exceed the total fees paid under this Agreement in the preceding twelve months.

Term and Termination

This Agreement commences on the Effective Date and continues until terminated by either party with days' written notice. Provider may terminate immediately for material breach or non-payment.

Notices shall be given to the addresses below and are effective upon receipt.

Governing Law and Dispute Resolution
