FINANCIAL TOKEN WARRANT AMENDMENT

This Financial Token Warrant Amendment (the "Amendment") is made effective as of (the "Effective Date"), by and between Issuer Name: and Holder Name: .

WHEREAS, Issuer and Holder are parties to that certain Warrant Agreement dated (the "Warrant Agreement"); and

WHEREAS, the parties desire to amend certain provisions of the Warrant Agreement on the terms and conditions set forth below.

Amendments

1.1 Amendment Scope. The Warrant Agreement is hereby amended solely as expressly set forth in this Amendment. Except as amended hereby, all terms, covenants and conditions of the Warrant Agreement remain in full force and effect and are hereby ratified and confirmed.

Any anti‑dilution protection in the Warrant Agreement is amended as set forth above. Adjustments required by such amended provisions shall be calculated in accordance with the methodology specified in this Amendment.

Representations and Warranties

Each party represents and warrants to the other that: (a) it is duly organized and validly existing under the laws of its jurisdiction of formation and has full power and authority to enter into and perform its obligations under this Amendment; (b) the execution and delivery of this Amendment and the performance of its obligations hereunder have been duly authorized by all necessary corporate or other action; and (c) when executed and delivered by such party, this Amendment will constitute a valid and binding obligation of such party enforceable in accordance with its terms, except as enforcement may be limited by bankruptcy, insolvency, moratorium or similar laws affecting creditors' rights generally and by general equitable principles.

Issuer further represents that, to its knowledge, the Tokens to be issued upon exercise of the Warrant, as amended, will be duly authorized and, when issued in accordance with the Warrant Agreement and applicable law, validly issued, fully paid and nonassessable.

Conditions to Effectiveness

This Amendment shall be effective upon (i) execution by both parties and (ii) satisfaction of any required corporate approvals as evidenced by the certificates or officer certifications attached to or delivered with this Amendment. The parties may indicate delivery of such approvals by initialing below or by separate written certificate delivered to the other party.

All notices, requests and other communications required or permitted hereunder shall be in writing and shall be delivered to the parties at the following addresses (each party may change its address for notices by written notice to the other):

Miscellaneous

Entire Agreement: This Amendment and the Warrant Agreement (as amended hereby) constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements and understandings relating to such subject matter.

No Waiver; Severability: No failure or delay by any party in exercising any right shall operate as a waiver of such right. If any provision of this Amendment is held invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired.

Counterparts and Electronic Signatures: This Amendment may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall be deemed original signatures for all purposes.
