Recitals and Purpose

This Financial Trades Agreement (the Agreement) sets forth the terms under which Party A and Party B will execute, settle and record transactions in financial instruments as authorized below. Each party represents that it is duly organized and authorized to enter into and perform its obligations under this Agreement.

Representations, Warranties and Compliance

Each party represents and warrants that it is duly authorized, that all trades will comply with applicable law, and that it maintains policies and controls related to anti-money laundering, sanctions, and market conduct. Each party shall notify the other promptly should any representation become inaccurate.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other from claims arising from the indemnifying party's breach, negligence, willful misconduct or failure to perform. Except for losses arising from willful misconduct or gross negligence, the aggregate liability of a party shall not exceed:

Events of Default and Remedies

Events of Default include failure to pay amounts when due, breach of representations, insolvency, or material regulatory enforcement. Upon an Event of Default, the non-defaulting party may close out positions, set-off amounts, liquidate collateral and pursue all available legal remedies.

Records, Audit and Confidentiality

Each party shall maintain accurate records of trades, confirmations, and settlements for a period required by applicable law and shall permit the other party or its authorized representative to audit records upon reasonable notice during normal business hours to verify compliance with this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the jurisdiction specified below without regard to conflict of law principles. Parties agree to attempt good faith negotiation of disputes, and, failing resolution, to submit to the exclusive jurisdiction of the courts specified below unless otherwise agreed in writing.

Notices

All notices under this Agreement shall be in writing and delivered to the contact details set forth for each party, by hand, registered mail, or overnight courier, and shall be effective upon receipt.

Miscellaneous

This Agreement, together with any schedules and confirmations, constitutes the entire agreement between the parties with respect to the subject matter and supersedes prior negotiations. Amendments must be in writing and signed by authorized representatives of both parties.
